DES:djk 08/31/87R <br /> <br />respective governing bodies, commissions, boards, officers, <br />agents and employees shall be primary to the full limits of <br />liability of such policies or program, and that if Authority, <br />Agency, or their respective governing bodies, commissions, <br />boards, officers, agents and employees have other insurance <br />against a loss covered by such policies or program, such other <br />insurance shall be excess insurance only. <br /> <br /> In the event of the breach of any provision of this section, <br />or in the event any notice is received which indicates any <br />required insurance or self-insurance coverage will be diminished <br />or cancelled, Agency at its option, may, notwithstanding any <br />other provision of this agreement to the contrary, obtain <br />adequate insurance coverage on commercially reasonable terms at <br />Company's expense and immediately declare a material breach of <br />this agreement. <br /> <br /> ARTICLE VIII. <br /> <br /> ENFORCEMENT <br /> <br /> Section 8.1. Scope. The provisions of this Article shall <br />govern the procedure for reviewing Complaints; provided, that <br />resolution of disputes relating to audits pursuant to Section 6.6 <br />shall be governed by that Section and not t~e provisions of this <br />Article. The provisions of this Article are not exclusive, are <br />cumulative, and are in addition to any and all other remedies <br />which may accrue to Agency as a result of Company's performance <br />or failure to perform its duties and obligations, express or <br />implied, hereunder, or othe~¢ise as a result of Company's actions <br />in violation of this agreement. <br /> <br /> Section 8.2.
