~ES:djk 08/31/87R <br /> <br />hereunder due to the effects of the Emergency Condition, the <br />Governing Body may declare this agreement terminated effective <br />upon the date of the cessation of the Emergency Condition. In <br />the event of such termination no rights shall accrue to Company <br />under this agreement from and after the date of termination. <br /> <br /> ARTICLE X. <br /> <br /> MISCELLANEOUS PROVISIONS <br /> <br /> Section 10.1. Assignability. Neither this agreement nor <br />any portion thereof shall be assignable, voluntarily or by <br />operation of law, in whole or in part, by Company without the <br />prior written consent of Agency. <br /> <br /> Section 10.2. Successors. All duties, obligations and <br />agreements to be performed, and all rights, privileges and <br />benefits accruing hereunder to Agency, Authority, and Company <br />shall be binding upon, and inure to the benefit of, their <br />respective successors and assigns. <br /> <br /> Section 10.3. Notice of Change of Management or Control. <br />Company shall notify Agency of any substantial change in the <br />management or control of Company within five calendar days <br />following such change. <br /> <br /> Section 10.4. Notices. All notices given hereunder shall <br /> be in writing and delivered in person or transmitted by United <br /> States Postal Service certified mail, postage prepaid, addressed <br /> as follows: <br /> <br /> (a) Notices to Agency: City Manager <br /> City of Redwood City <br /> P.O.
