Governing Enactments. In the event of any <br />conflict between any provision of this agreement and any statute <br />or any provision of Agency's ordinances, resolutions, rules or <br />regulations providing for the issuance of Solid Waste Collection <br />franchises and the regulation of the Collection of Solid Waste, <br />the latter provision shall govern. <br /> <br /> Section 10.6. Attorneys Fees. In the event either party <br />commences an action or other proceeding against the other party <br />arising out of any dispute hereunder, the prevailing party shall <br />be entitled to recover reasonable attorneys fees and costs <br />against the other party irrespective of whether such action or <br />proceeding is prosecuted to judgment. ~ <br /> <br /> Section 10.7. Interpretation. The provisions of this <br />agreement, the performance of the respective duties and <br />obligations, and the accrual of the respective rights of the <br />parties hereto shall be governed, interpreted, and construed in <br />accordance with the laws of the State of California. <br /> <br /> Section 10.8.
