1 3.12 Company Authorization <br /> 2 Company has the authority to enter into and perform its obligations under this <br /> 3 Agreement. The Board of Directors of Company (or the shareholders, if <br /> 4 necessary) have taken all actions required by law, its articles of incorporation, its <br /> 5 bylaws, or otherwise to authorize the execution of this Agreement. The persons <br /> 6 signing this Agreement on behalf of Company have authority to do so. <br /> <br />7 3.13 Statements and Information in Compan.v's Proposal <br />8 Company's Proposal, dated August 15, 1994, as modified by its proposals dated <br />9 March 28, 1995 and July 12, 1996 and any information submitted to Agency <br />10 supplementary thereto, on which Agency has relied in awarding the Agreement <br />11 to Company and entering into this Agreement, does not contain any untrue <br />12 statement of a material fact nor omit a material fact necessary in order to make <br />13 the statements made, in light of the circumstances in which they were made, not <br />14 misleading. <br /> <br /> Page l7 8/2/96 <br /> <br /> <br />
