1 (including Collection schedules, route maps, billing forms, complaint forms, <br /> 2 service request forms, etc.). Company agrees to adhere strictly to the <br /> 3 implementation plan. <br /> 4 Failure to adhere to the implementation schedule will constitute a breach of this <br /> 5 Agreement and, if incurred, an event of default under Article X of this <br /> 6 Agreement. <br /> <br />7 4.5 Material Processing <br />8 4.5.1 Receipt of Solid Waste <br />9 The Company shall have in place or make arrangements for Material Recovery, <br />10 Composting, and Processing Facilities to receive and accept all deliveries of <br />11 Green Waste generated in the Agency. As described in Company's Proposal <br />12 (Exhibits 1, 2 and 3), Company has designated Ox Mountain and Newby Island, <br />13 together with their Composting Facilities, as the initial sites to be utilized in this <br />14 Agreement. Should Company decide to use different facilities, it shall notify the <br />15 Agency in writing within forty-eight (48) hours of such change. Any residual <br />16 Solid Waste shall be legally disposed of at a disposal site in Full Regulatory <br />17 Compliance. Agency retains the right to direct Company to transport or transfer <br />18 Green Waste to another facility. In the event of such Agency action, Company or <br />19 Agency may initiate a rate review, as provided in Article VI of this Agreement. <br /> <br />20 4.5.2 Facility Pexmits <br />21 Company shall ensure that the terms of all existing permit approvals from <br />22 governmental authorities necessary for the use of the Materials Recovery, <br />23 Composting, or Processing Facility throughout the term for the receipt of Green <br />24 Waste from the Agency are kept in Full Regulatory Compliance. Company <br />25 accepts full responsibility, financial and otherwise, for maintaining valid permits <br />26 at all facilities used under this Agreement. <br /> <br />27 4.6 · Status of Materials Recovery., Compostin~, or Processin~ Facility <br />28 Any Materials Recovery, Composting, or Processing Facility used by Company <br />29 must be designed and constructed in accordance with all applicable state and <br />30 local laws (e.g., CEQA, California Code of Regulations; etc.). Company assures <br />31 Agency that the Materials Recovery, Composting: and Processing Facility has <br />32 been issued all permits from federal, state, regional, county, and Agency agencies <br />33 necessary for it to operate as a Materials Recovery, Composting, or Processing <br />34 Facility and is in Full Regulatory Compliance with all such permits.
