ARTICLE VI
COMPANY'S COMPENSATION AND RATES

6.1 General
Company's Compensation provided for in this Article VI shall be the full, entire,
and complete compensation due to Company pursuant to this Agreement for all
labor, equipment, materials and supplies, taxes, insurance, bonds, overhead,
profit, and all other things necessary to perform all the services required by this
Agreement in the manner and at the times prescribed.

6.2 Mandatory. O_verating Cost Reductions
Company shall modify its Solid Waste and Recyclable Materials services in a
manner that maximizes savings from the introduction of these Green Waste
services. Among the savings that shall be achieved are:
A. Discontinue Monthly Solid Waste Pick-Up Service. As described in Section
4.3b of the Uniform Franchise Agreement, Company is required to offer
monthly pick-up of Solid Waste, of up to fifty (50) poUnds per Residential
Property. By eliminating this monthly service, Company will not incur the
expense of running the program.
B. Revise Pick-Up Routes. Based on an even distribution of service made
possible by the creation of Environmental Days and the discontinuance of
monthly service, and reduced demand for collection of Solid Waste as
described herein, Company may re-route its Residential Service by modifying
equipment, crew sizes, route maps, and other factors to devise a more
efficient service delivery system. It is expected that Company should be able
to eliminate as many as five (5) routes throughout the Authority areas by re-
routing, without any loss of service. Any such route changes are subject to
review, as provided in this Agreement and the Uniform Franchise
Agreement. Company agrees to accept all risk and responsibility, financial
and otherwise, related to the implementation of services under this
Agreement with no more than the numbers of collection personnel and
vehicles used in calculating the Company's rates for the period beginning
January 1,1996.
Company and not the rate payers or the Agency shall assume the financial
effects, should the solid waste system operating cost reductions and revenue
increases anticipated by Company in its proposals and representations to the
Agency fail to be realized,

Page 35 8/2/96
