Agreement and shall inform Agency in writing of such designation and of any <br /> limitations upon his or her authority to bind Company. Agency may rely upon <br /> action taken by such designated representative as actions of Company unless <br /> they are outside the scope of the authority delegated to him/her by Company as <br /> communicated to Agency. <br /> <br />6 11.14 Agency Free to Ne_~otiate with Third Parties <br />7 Agency may investigate all options for the Collection Composting, and <br />8 processing of Green Waste beginning six (6) months before the expiration of the <br />9 term. Without limiting the generality of the foregoing, Agency may solicit <br />10 proposals from Company and from third parties for the provision of Green <br />1! Waste services, and may negotiate and execute agreements for such services that <br />12 will take effect upon the expiration or earlier termination under Section 10.1 of <br />13 this Agreement. <br /> <br />14 11.15 Privacy. <br />15 Company shall strictly observe and protect the rights of privacy of Customers. <br />16 Infot~-~-~ation identifying individual Customers or the composition or contents of a <br />17 Customer's waste stream shall not be revealed to any person, governmental unit, <br />18 private agency, or company, unless upon the authority of a court of law, by <br />19 statute, or upon valid authorization of the Customer. This provision shall not be <br />20 construed to preclude Company from preparing, participating in, or assisting in <br />21 the preparation of waste characterization studies or waste stream analyses as <br />22 may be reqUired by AB 939. <br /> <br />23 11.16 T~me is of the Essence <br />24 Company and Agency agree that time is of the essence regarding perfom~ance of <br />25 this Agreement. <br /> <br />26 11.17 Immigration Reform and Control Act (IRCA) <br />27 Contractor assumes any and all responsibility for verifying the identity and <br />28 employment authorization of all of its employees performing work hereunder, <br />29 pursuant to all applicable IRCA or other federal and state rules and regulations. <br />30 Contractor. shall indemnify, defend, and hold Agency hara-~less from and against <br />31 any loss, damage, liability, costs, or expenses arising from any noncompliance of <br />32 this provision by Company. <br /> <br /> Page 63 8/2/96 <br /> <br /> <br />
