1 ARTICLE XII <br />2 MISCELLANEOUS AGREEMENTS <br /> <br /> 3 12.1 Entire Agreement <br /> 4 This Agreement, including the Exhibits, represents the full and entire Agreement <br /> 5 between the parties with respect to the matters covered herein. <br /> <br />6 12.2 References to Laws and Other Agreements <br />7 All references in this Agreement to laws shall be understood to include such laws <br />8 as they may be subsequently amended or recodified, unless otherwise <br />9 specifically provided. This Agreement supersedes any and all agreements <br />10 heretofore entered into by Company and Agency with respect to the matters <br />11 covered herein. <br /> <br />12 12.3 Interpretation <br />13 This Agreement, including the Exhibits attached hereto, shall be interpreted and <br />14 construed reasonably, and neither for nor against either party, regardless of the <br />15 degree to which either party participated in its drafting. <br /> <br />16 12.4 Agreement <br />17 This Agreement may not be modified or amended in any respect except by a <br />18 writing signed by the parties. <br /> <br />19 12.5 Severability <br />20 If any non-material provision of this Agreement is for any reason deemed to be <br />21 invalid and unenforceable, the invalidity or unenforceability of such provision <br />22 shall not affect any of the remaining provisions of this Agreement, which shall be <br />23 enforced as if such invalid or unenforceable provision had not been contained <br />24 herein. <br /> <br />25 12.6 Exhibits <br />26 Each of the Exhibits identified as Exhibit "1' through "5" is attached hereto and <br />27 incorporated herein and made a part hereof by this reference. <br /> <br /> Page66 8/2/96 <br /> <br /> <br />
