Any notice <br /> 8 mailed is deemed to have been received. <br /> <br />9 11.22 Governing Enach.ents <br />10 In the event of any conflict between any provision of this Agreement and any <br />11 statute or any provision of Agency's ordinances, resolutions, rules, or regulations <br />12 providing for the issuance of Green Waste Collection Franchises and the <br />13 regulation of the Collection of Green Waste, the latter provision shall govern. <br /> <br />14 11.23 Attorneys Fees <br />15 In the event either party commences an action or other proceeding against the <br />16 other party arising out of any dispute hereunder, the prevailing party shall be <br />17 entitled to recover reasonable attorneys fees and costs against the other party <br />18 irrespective of whether such action or proceeding is prosecuted to judgment. <br /> <br />19 11.24 Inter?retation <br />20 The provisions of this Agreement, the performance of the respective duties and <br />21 obligations, and the accrual of the respective rights of the parties hereto, shall be <br />22 governed, interpreted, and construed in accordance with the laws of the State of <br />23 California. <br /> <br />24 11.25 Captions <br />25 Section and subdivision headings herein contained are for convenience only, and <br />26 shall not be deemed to amend or affect the interpretation of the section or <br />27 subdivision headed thereby. <br /> <br /> Page65 8/2/96 <br /> <br /> <br />
