A majority finding shall govern if the arbitrators' determination <br />is not unanimous. Each city shall pay its own expenses including <br />the expenses of the arbitrator which it nominates. The admin- <br />istrative costs of the arbitration proceedings shall be shared <br />equally by all of the cities. <br />Section 18. Withdrawal from Authoritv- Disposition of <br />Assets <br />This agreement shall terminate only upon its expiration <br />by its terms, or upon agreement of all of the cities, such <br />agreement being authorized by a four-fifths vote of the <br />governing body of each of the cities. if any city shall with- <br />draw from the Authority prior to termination as set forth above, <br />it shall lose any further right to use the Joint Facilities; <br />and upon the termination thereafter of this agreement, any <br />city so withdrawing prior to said termination shall receive as <br />its proper share of the assets of the Authority that portion of <br />the assets of the Authority which it owned at the date of such <br />withdrawal, less any accumulated charges for maintenance and <br />operation or new construction which it would have been obligated <br />to pay had it not wit.hdra-wn from the Authority, Upon the <br />termination of this agreement, either by expiration or mutual <br />agreement as set forth above, the assets of the Authority shall <br />be distributed to the cities in accordance with their percentage <br />share of ownership as most recently determined before the date <br />of such termination. <br />Section 19. Amendments <br />This agreement may be amended. only by an agreement approved <br />and executed by all of the cities. <br />Section 20. Severability <br />Should any part, term, or provision of this agreement be <br />decided by the courts to be illegal or in conflict with any law <br />-15- <br />
