500 parking stalls (the "Development"). The general concept of the Development <br />is described and depicted in documents submitted by Developer in response to <br />Agency's Request for Proposals, which documents are on file in the office of <br />Agency's Executive Director, to which reference is made for the full particulars <br />thereof. The parties agree that the scope of the Development is subject to <br />negotiation during the Negotiation Period. <br /> <br /> 3. GOOD FAITH NEGOTIATIONS; EXCLUSIVITY. Developers and <br />Agency agree to negotiate in good faith during the Negotiation Period for the <br />purpose of preparing and entering into a DDA providing for assemblage of the <br />parcels comprising the Project Site, and for the financing, construction and <br />development by Developers of the Development. Agency agrees, for the <br />Negotiation Period, not to negotiate with any other person or entity regarding the <br />disposition or development of the Project Site, or any part thereof, for any <br />purpose. The parties shall, taking into consideration the term hereof, establish a <br />schedule for their negotiations and extend their best efforts to adhere to the <br />schedule (as the same may, from time-to-time, be modified) in order to complete <br />the negotiation process at the earliest practicable time and to determine the <br />financial feasibility of the Development. <br /> <br /> 4. Feasibility.
