AGREEMENT FOR SPECIAL COUNSEL SERVICES <br /> [Hanson Bridgett Marcus Vlahos Rudy, LLP] <br /> <br /> THIS AGREEMENT is made and entered into as of the ___ day of <br /> ,2004, by and between the CITY OF REDWOOD CITY, a charter city <br />and municipal corporation of the State of California ("City"), and HANSON BRlDGETT <br />MARCUS VLAHOS RUDY, LLP, a law firm ("Special Counsel") (collectively, the "Parties")~. <br /> <br /> RECITALS <br /> <br /> A. City requires the professional services of an Attorney that is experienced in <br />environmental, regulatory and long-term planning of potable water supply and use of recycled <br />water for non-potable applications. <br /> <br /> B. Special Counsel has the necessary experience and history in providing <br />professional services and advice related to legal, technical and regulatory aspects of public water <br />supplies. <br /> <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br /> 1. Scope of Work. City retains Special Counsel to perform, and Special <br />Counsel agrees to render legal services for the City as requested including, but not limited, to <br />those services associated with environmental, regulatory and/or water issues (the "Services") in <br />accordance with this Agreement's temas and which are incorporated by this reference in <br />accordance with this Agreement's terms and conditions. Ray McDevitt, a principal member of <br />the firm of Special Counsel, shall be responsible for the performance of the Services and shall <br />supervise any Services performed by other members of Special Counsel's finn. <br /> <br /> 2. Standard of Perfmmance. While performing the Services, Special <br />Counsel will exercise the reasonable professional care and skill customarily exercised by <br />reputable members of the California State Bar practicing in the Metropolitan Northern California <br />Area, and will use reasonable diligence and best judgment while exercising its professional skill <br />and expertise. <br /> <br /> 3. Advance Approval. Special Counsel shall obtain approval of the Public <br />Works Services Director or the City Attorney in advance of preparing any and all work products. <br /> <br /> 4. Term. Unless earlier terminated, the term of this Agreement will be <br />effective for a period of one (1) year from the date first above written. The City Manager may <br />amend the Agreement to extend it for four additional one-year periods or parts thereof in an <br />amount not to exceed eighty thousand dollars ($80,000.00) per Agreement year. Extensions will <br />be based upon a satisfactory review of Consultant's performance, City needs, and appropriation <br />of funds by the City Council. The parties will prepare a written amendment indicating the <br />effective date and length of the extended Agreement. <br /> <br /> 5. Time is of the Essence.
