Reference is made ta that cet�ain real prope��ty situated in the City of Redwood City, <br /> County of San Mateo, State of Califorj�ia, known as �he One Marina site and described on Exhibit"A", <br /> attached hereto and incocporated by this refe�•ence as if fully set forth harein (the "I'rope��ty"). The <br /> Property is being de�veioped as a condominium project. The Developer exp�cts to transfe�• its interest in <br /> the Praperty #o One Marina Owner's Association ("HOA"j, a California nonprofit mut�zal ber�e�t <br /> corpo�•ation, which HOA shall be ulfin�ately j•espo�isible for the management, operatian and governa�ce <br /> of the P�•opea�ty. <br /> B. �n connection with its development of tha P�•operty as a residential cammunity, the <br /> Developer subinitted to t�e City a P►•ecise Plan,I'C Permit, and Construction Documenis, which include, <br /> inter alia, landsca�ing plans for a�•eas within Easements o�• p�•operty w1��re the City halds an interest <br /> ("Plans"), all of which Plans ha�e been approved by the City. The P1ans p�•ovide for installatior�of cei-�ain <br /> landscaping, pedestrian lighting, irrigation, paths, and sita fui•nishings ("Irnprovements") within that <br /> po��tion of the City owned easerrients ("Maintenance At•ea") as the Impj•ovements and Maintenance A�•ea <br /> are more specifically shown on Exhibit"B"attached hereto and by this refe�•ence made a part hereof. <br /> C. The Developer has submitted a �nal map for the Prope��ty, which has been reviewed by <br /> the City Engineer and is being approved concur�•enfily with this Agreement("Final Map"). <br /> D. The Develope�• recognizes that the City's approval of the Final Map is based oi� tl�e <br /> Developer's commitmen� to the lang-t�rm tnaintenance, �•epair, care and, if ar�d when necessaay, <br /> replacejner�t af the Itnprovements, and that the Final Map would not have been approved without the <br /> assurance tl�at this Agreement would be executed by the Developer, <br /> E.
