<br /> AGREEMENT
<br /> NO�]V, THEREFORE, the City and the Developer (togethe�•, th� "Pa��ties"} hereby agree as
<br /> fol(ows;
<br /> l. PLTRPOSE O� AGREEMENT. The put•pose of this Agreement is to assure the
<br /> maintenanc�, periodic inspection, repair, safe operation and, if and when necessary, replacement af the
<br /> Improvements by the Developer at its expense in aecordance with the standards, including the
<br /> Maintenance Standards(defineti in Section 4 below}, set fot�th het•ein.
<br /> 2. IMPROVEMENTS AS A BENEFIT. The Developer agrees that the Irnp�•ovements will
<br /> materially ber�e�t tha Pt�ope�-ty and that Developer's �nair�tenance, repaiz�, safe operation and, if and when
<br /> necessary, replacement thereof in acca�•dance with t�is Agree�nent is necessary for app�•oval of the
<br /> Dcv�l�par's Final Map.
<br /> 3. DEVELOPER'S RESPONSIBILITIES. Developer, at its sole expense, shall tziaintain,
<br /> safely opez•ate, periodically inspect, repair, �•esu��face and, if and when necessary, replace the
<br /> Imp�•oveme��ts identified in E�ibit "B", as well as perfoi�n all necessaiy service on maintena�ce
<br /> equiptnent, in orde�• to ensure the attractive and healthy appearance of the landscaping, the attracti�e
<br /> appearance, condition and safety of any a�d all structu�•es, and the efficient operation of all of the
<br /> Impro�ements, including paying the elae�rical expense of operating the pedestrian light and irrigation
<br /> cont�•oller, said electrieal expense to be paid by the Developer upan the direct receipt of invaicas fa�•
<br /> elect�ical s��wice from Paci�e Gas a�d Electric, all in accorciance with the Maintenance Standards
<br /> desc�•ibed in Section 4 below,and indushy and City standat•ds applicable to similar impcovements.
<br /> 4, MAINTENANCE STANDARDS. The follawing standards {coliectively, "Mait�tenance
<br /> ��andards") shall be compliad with by Developer and its maintenance staft', con#ractors and
<br /> subcant�•acta�•s in cannection with the reyuired maintenance of the Itnprovett�ents:
<br /> a. The Improvements shall be maintained in compliance with the Plans and Final
<br /> Map, in good conditian, and in acco�•dance with the custot� and practice generally applicable to public
<br /> rights-of-way within tlze City of Redwood City.
<br /> b. Landscape znaintenance shall include, but not be limited to: watering/ie�•igation;
<br /> fez�ilization; periodic t��imming, mowing, and/oj•edging of�•ass and lawn at'eas; pruning of trees, shcubs,
<br /> and other vegetatioj�; t�i�nming and shaping af trees a�d shrubs to maintain a healthy, natural appearance,
<br /> safe road conditions and visibility, and irrigation co�+ecage; removal and replacement, as needed, of all
<br /> plant materials; control af weeds in all planters, sh�•ubs, (awns, ground covers, o�•other planted areas; and
<br /> s�aking for suppa��t of trees.
<br /> c. Clean-up maintenance shall include, but nat be litz�ited to: mainte��ance of al1
<br /> sidewallcs, paths and other paved areas in clean and weed-fi•ee conditioi�; mair�tenance of all sueh at•eas
<br /> clear af dirt, mud,tz•ash, debris o�•othe�•matter which is unsafe or unsightly;removal o�a�1 trash, litter and
<br /> other debris froan itnprovements and landscaping prior to nnowing; clearance aud cleaning of all areas
<br /> maintained pri�r to the end of the day on which the maintenance operations are performed to ensure that
<br /> all cuttings,weeds, leaves and othe�•debris are p�•operly dispased of by�naintenance workers.
<br /> d. Lighting maintenance shall include prompt t•eplacement of inoperable (ight bulbs,
<br /> repair and replacement ot'da�naged light fixtuz•es and timely pay�nent of electrical costs to Pacific Gas and
<br /> Electric. �
