<br /> RIGHT OF ENTRY LICENSE AGREEMENT FOR TRAINING PURPOSES
<br /> COLLEGE OF SAN MATEO

<br /> This agreement is entered into this,�day of �arch , 2013, between the
<br /> City of Redwood City ("City" or "Licensor") and the COLLEGE OF SAN MATEO
<br /> ("CSM").
<br /> PERMISSION TO USE PROPERTY
<br /> Licensor grants permission to CSM and its trainees within the course and scope of their
<br /> college class to use the forcible entry training station on its real property, a portion of the
<br /> Redwood City Department of Public Works Municipal Service Center (the "Corp. Yard")
<br /> which is located at 1400 Broadway, Redwood City, CA 94063, more particularly
<br /> described as the parking lot, bathrooms and the Fire Department Forcible Entry Prop
<br /> located in the south-west portion of the Corp. Yard and depicted in Exhibit A, attached
<br /> hereto and incorporated by this reference (the "Property"), for the purpose of the "CSM"
<br /> training exercise on March 23, 2013, from the hours of 8:00 a.m. to 5:30 p.m. This
<br /> training exercise, conducted by CSM, will involve no more than fifty (50) persons
<br /> including both students and instructors, to train or test their abilities for forcible entry
<br /> during a fire.
<br /> This permission and right of entry is subject to the condition that a Redwood City
<br /> employee, to be provided by the City, must open the gate to the Property and be
<br /> present at all times CSM is on or using the Property.
<br /> CSM RESPONSIBILITIES
<br /> CSM agrees that all the training will be conducted and operated by employees of CSM
<br /> who are trained Fire personnel, and who will be present during the training, and all
<br /> applicable orders, policies and procedures regarding safety and training equipment will
<br /> be strictly enforced.
<br /> CSM shall also reimburse the City for costs or expense, if any, incurred by reason of the
<br /> requirement for the presence of a Redwood City employee.
<br /> INDEMNIFICATION, WAIVER AND RELEASE
<br /> CSM shall indemnify, protect, defend and hold harmless the City of Redwood City and
<br /> its Council, and their respective officers, directors, employees, partners, agents and
<br /> representatives (collectively, "Indemnities") from and against any and all losses,
<br /> damages, liability, claims, demands, obligations, causes of action, judgments, costs,
<br /> settlements or expense of any kind or character (including attorney fees and costs for
<br /> mediation, arbitration, litigation and/or settlement) for any loss or damage, bodily injury,
<br /> including death, damage to or loss of use of property caused by the entry upon the
<br /> Property, or the entry on the Property of CSM's instructors and students and any other
<br /> participants, their respective employees, agents, officers, consultants, contractors, or
