8.A. - Page 1 <br /> RE PO RT <br /> To the Honorable Mayor and City Council <br /> From the Cit Mana er <br /> June 24, 2013 <br /> SUBJECT <br /> Adoption of the Second Amendment to the South Bayside Waste Management <br /> Authority (SBWMA) Joint Powers Authority (JPA) Agreement to change the composition <br /> of the Board of Directors, appointment of a representative and alternate from the <br /> Redwood City City Council to serve on the SBWMA Board, and direction to the new <br /> Board, if established, regarding further amendments to the JPA Agreement <br /> RECOMMENDATION <br /> A) Approve a resolution to adopt the Second Amendment to the South Bayside Waste <br /> Management Authority (SBWMA) Joint Powers Authority (JPA) Agreement to define the <br /> SBWMA Board of Directors as being comprised of an elected official from each of the <br /> member agencies' governing bodies, B) Appoint a representative and alternate from the <br /> Redwood City City Council to serve on the SBWMA Board and C) Make a Motion to <br /> direct that the new SBWMA Board, if formed, further amend the SBWMA JPA <br /> Agreement, within six months of being seated, to add a Code of Conduct and appoint a <br /> Technical Advisory Committee. <br /> BACKGROUND <br /> On December 9, 1999, the twelve member agencies of the SBWMA (also currently <br /> referred to as RethinkWaste) entered into a JPA Agreement. This agreement specifies <br /> the SBWMA's purpose, powers and governance, among other matters. The Agreement <br /> defined the Board of Directors to include one staff person from each member agency <br /> from a list of possible position titles. <br /> A Blue Ribbon Task Force was formed in February 2013, comprised of elected officials <br /> from SBWMA member agencies interested in discussing the Authority's governance <br /> structure and related topics. The Task Force met on March 20 and April 24, 2013. The <br /> minutes (attached to this memo) reflect who was in attendance at the meetings. <br /> Redwood City Council Member Jeff Ira was selected by general consensus as the Chair <br /> of the Blue Ribbon Task Force, with Redwood City staff agreeing to complete the follow <br /> up work requested at each meeting. <br /> ANALYSIS <br /> During the April 24 Task Force meeting, a staff report was presented with information <br /> regarding the governance models of six solid waste JPAs in Northern California and <br /> four other types of local JPAs in which various SBWMA members participate.
