<br /> ------ <br /> ORIGINAL <br /> REVOCABLE LICENSE AGREEMENT <br /> (Middlefield Road) <br />This License Agreement ("License"), effective as of /.Ap.rJ...1 , 2004, is made by and <br />between the City of Redwood City ("City"), and KTVU ("Licensee"). <br /> RECITALS <br />A. City has suspended the enforcement of parking violations within the area of Middlefield <br />Road from Bradford Street to Veterans Boulevard (the "Property") to provide temporary parking during the <br />period of a major trial. <br />B. Licensee is in need of temporary parking spaces on the Property for a limited period of <br />time and is desirous of using a portion of the Property for parking purposes. <br />C. City has made improvements to the Property for it to serve as a temporary parking lot <br />and is willing to allow Licensee to use the Property for temporary parking purposes. <br />NOW, THEREFORE, IT IS AGREED AS FOllOWS: <br />1. Scope of License. City hereby grants a non-exclusive License to Licensee to enter upon <br />the Property for the purpose of parking one (1) vehicle as further described ~e attached Exhibit "A" <br />(the "Vehicle"). Use of the Property in this manner shall commence on ëA.- I ,2004 on a <br />month-to-month basis, terminable pursuant to Paragraphs 2 and 13 of this License. <br />2. Temporary License. This License is temporary In nature and does not constitute a deed, <br />grant, of easement or lease, or other conveyance of any right, title, or interest in or to the Property. <br />Notwithstanding Paragraph 13 of this License, the City or Licensee, respectively, as terminating party <br />may terminate this License at any time during which it is in effect by giving notice thereof to the non- <br />terminating party not less than thirty (30) days prior to the effective date of termination. <br />3. Monthly Payment. For the ability to park the Vehicle on the Property, Licensee shall pay <br />the City a fee of One Thousand Seven Hundred Sixty-fiye Dollars ($1,765) per month, in advance on or <br />before the first day of each month while this License remains in effect, for each 30-day period of <br />occupancy hereunder commencing upon the effective date of this License. In the event that the effective <br />date of termination is on any day other than the last day of a monthly period for which the License fee <br />hereunder is payable, such fee shall be prorated on a daily basis to such date of termination. This fee is <br />based on the cost associated with the establishment and maintenance of the Property for media use and <br />may be reduced by the City at the beginning of anyone (1) month period. <br />4. Condition of Premises. Licensee shall keep its portion of the Property clean, neat, <br />ordGrly and free of papers, debris, or other wastes. <br />5. Çity Access. City reserves the right to access the Property or any part thereof for any <br />purpose in furtherance of City's use of the Property. Notwithstanding the foregoing, City shall extend <br />reasonable efforts not to interfere with Licensee's use and occupancy of the Property in exercising its <br />rights under this paragraph. <br />6. tloldover. If, upon expiration or revocation of this License, Licensee remains on the <br />Property, City may remove the Vehicles without written notice to Licensee. <br />7. Waiver of Claims. City assumes no responsibility for the guarding or safekeeping of <br />Licensee, the Vehicle or Licensee's personal property. Except for damage or injuries caused by City, its <br />agents, officers or employees, Licensee waives all claims against City its agents, officers or employees <br />for any damages to Licensee, the Vehicle or Licensee's personal property and for injuries to any <br />employees of Licensee or their agents in or about the Property. <br />Alty/Permits/Parking License (Middi"fie:d) I <br />021904 <br />
