<br />8. Indemnification. Licensee will hold City, its Council, agents, officers or employees
<br />exempt and harmless from any damage or injury to any person, or any property, from any cause of action
<br />arising at any time from the use of the Property by Licensee, including all claims arising out of the
<br />negligence of Licensee. Licensee's indemnification will include any and all costs, expenses, attorneys
<br />fees and liability incurred by City, its Council, agents, officers or employees in defending against such
<br />claims, whether the same proceed to judgment or not. Licensee will, at its own expense and upon written
<br />request by City, defend any such suit or action brought against City, its Council, agents, officers or
<br />employees. This section ",1[1 survive the expiration or termination of this Permit.
<br />9. Venue. Licensee agrees and hereby stipulates that the proper venue and jurisdiction for
<br />resolution of any disputes between the parties arising out of this License is San Mateo County, California.
<br />10. Insurance. Licensee will acquire and maintain Workers' Compensation, employer's
<br />liability, commercial general liability, owned and non-owned and hired automobile liability insurance
<br />coverage relating to Licensee's use of the Property pursuant to this License. Any insurance carrier is
<br />required to have a Best's Key Rating of not less than A:VII. The minimum amounts of coverage
<br />corresponding to the aforesaid categories of insurance per insurable event shall be as follows:

<br />Commercial General Liability $1,000,000 per occurrence and $2,000,000
<br /> aggregate for bodily injury, personal injury and
<br /> property damage.
<br />Automobile Liability $1,000,000 per accident and $2,000,000
<br /> aggregate for bodily injury and property damage
<br /> (coverage required to the extent applicabte to
<br /> Licensee's vehicle usage in performing
<br /> services hereunder).
<br />Licensee will furnish City with certificates and copies of information or declaration pages of the
<br />insurance required hereunder and, with respect to evidence of commercial general liability and
<br />automobile liability insurance coverage, original endorsements:
<br />(a) Precluding cancellation or reduction in coverage before the expiration of thirty (30) days
<br /> after the City shall have received written notification of cancellation or reduction in
<br /> coverage by first class mail;
<br />(b) Providing that Licensee's insurance shall apply separately to each insured against whom
<br /> claim is made or suit is brought, except with respect to the limits of the insurer's liability
<br /> (cross liability endorsement);
<br />(c) Naming City its councils, officers, commissions, employees, and agents, as additional
<br /> insureds; and
<br />(d) Providing that Licensee's insurance coverage shall be primary insurance with respect to
<br /> Agency and City, their councils, boards, officers, commissions, employees, and agents,
<br /> and any insurance or self-insurance maintained by City, for itself, and its boards,
<br /> commissions, employees, or agents shall be in excess of Licensee's insurance and not
<br /> contributory with it.
<br />If Licensee fails to maintain any of the insurance coverage required herein, then City will have the
<br />option to revoke this License, or may purchase replacement insurance or pay the premiums that are due
