<br />NOW, THEREFORE, in consideration of the above premises, and <br />pursuant to Section 9.5 of the Agreement, the Agencies do hereby agree as <br />follows: <br />1. Section 3.5 of the Agreement is hereby amended to read as follows: <br />"Section 3.5. Manaaer. The Commission shall appoint a Manager <br />of the Authority at the time provided for in Section 5.1. The <br />Manager shall have the power: <br />(a) to participate in the design of the Project; <br />(b) except as otherwise provided in clause (d) of this section, to <br />execute any contract for capital costs, costs of special services, <br />equipment, materials, supplies, maintenance or repair that involves <br />an expenditure by the Authority of not more than $50,000; or any <br />contract for consulting services the cost of which is included in the <br />budget for the then current fiscal year and which involves an <br />expenditure by the Authority of not more than $75,000; <br />(c) to employ all personnel of the Authority required for <br />maintenance and operation of the Joint Facilities and all other <br />employees authorized by the Authority's budget or by the <br />Commission; <br />(d) to expend funds of the Authority and enter into contracts not <br />exceeding in the aggregate expenditures of $300,000 of funds of <br />the Authority, whenever required by any emergency to keep the <br />Joint Facilities in operation or to restore them to operating <br />condition; <br />(e) to sell any personal property of the Authority of a value of <br />less than $25,000; <br />(f) to approve demands for payments by the Authority for which <br />funds have been budgeted; <br />(g) to prepare and submit to the Commission in time for revision <br />and adoption by it prior to May 1 of each year the annual budget for <br />the next succeeding Fiscal Year referred to in Section 6.1; and <br /> <br />2 <br /> <br />SBSAJPASuppV031308r <br />
