First Amendment to the Memorandum of Understanding for the <br /> Making the Last Mi/e Connection Pilot Program <br /> THIS FIRST AMENDMENT to the Memorandum of Understanding (MOU) for the Making the Last <br /> Mile Connection Pilot Program (Project) is made as of the�3� day of , 2013, by and <br /> between San Mateo County Transit District (District), the Peninsula Traffic Congestion Relief <br /> Alliance (Alliance), the County of San Mateo (County) and the City of Redwood City (City), each <br /> of which is referred to herein individually as"Party"and jointly as "Parties." <br /> WHEREAS, the Parties entered into the MOU on September 12, 2011; and <br /> WHEREAS, the Project is funded by the Metropolitan Transportation Commission (MTC) <br /> through MTC's Climate Initiatives Grant, which funds originate from the Federal Transit <br /> Administration (FTA); and <br /> WHEREAS, the District, as the recipient of FTA funds, is the lead agency for the Project <br /> and therefore must ensure that the Parties, as sub-recipients of FTA funds, are compliant with <br /> all applicable FTA requirements; and <br /> WHEREAS, the Parties now desire to amend the MOU in order to clarify that all <br /> applicable sub-recipient FTA-related requirements will be complied with; and <br /> WHEREAS, the Parties further desire to amend the MOU in order to clarify the scope of <br /> work, revise the budget, and revise the project schedule. <br /> NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS: <br /> 1. Article II, FUNDING AND METHOD OF PAYMENT, of the MOU is amended by revising <br /> Attachment B — Budget, which is attached hereto and incorporated herein by this reference, <br /> and by adding the following two paragraphs to the end of the Article: <br /> In accordance with federal requirements, all costs incurred in the performance <br /> of this MOU will be subject to audit. All authorized representatives of the <br /> District, the F7A, the State Auditor and the Comptroller General of the United <br /> States shall be granted access to Project records. The Parties shail also provide <br /> such assistance as may be required in the course of such audit. The Parties <br /> shafl retain Project records and make them available for inspection hereunder <br /> for a period of three (3) years after expiration or termination of the MOU. <br /> Grant funding for the Project is provided by the Federal Highway Administration <br /> (FHWA)/FTA Congestion Mitigation and Air Quality Improvement (CMAQ) <br /> program which requires all CMAQ monies to be expended within three years of <br /> the obligation date of the grant. The Project was obligated by FTA on <br /> September 20, 2011; funding therefore expires September 19, 2014.
