� . <br /> . � <br /> County's contract and shall notify the County of its request not to include said work, in writing, <br /> within ten (10) working days from notification by the County of the estimated cost to the City <br /> based on bid prices of the successful bidder. <br /> 8. City and County shall inspect work performed by the County's Contractor and, <br /> upon agreement that work has been satisfactorily completed by County's Contractor on City's <br /> behalf, as specified under this Agreement, County and City shall accept the work and the total <br /> cost incurred by County for administration and construction of City's facilities, as described <br /> herein, shall be determined and billed to City. Payment from City shall be due within thirty(30) <br /> days of the invoice date. <br /> 9. It is understood and City agrees that upon completion of the work contemplated <br /> by this Agreement, City shall continue to have all ownership and maintenance responsibilities <br /> over the City's owned facilities on portions of Douglas Avenue, Spring Street and Lakemead <br /> Way. <br /> 10. County shall only accept the work accomplished on City's facilities after <br /> receiving written approval from City's representative. City disapproval of County work shall <br /> only be for non-conformance with the County's adopted project plans and specifications for <br /> County's contract. Said approval or disapproval, if any, by City shall be provided within ten <br /> (10) calendar days of County's request for same so as not to cause the County to sustain any <br /> claims from the Contractor for delays. It is assumed that the work described herein is approved <br /> by City if no response is received within the said ten(10)calendar days. <br /> 11. To the full extent permitted by law, City shall defend, indemnify and hold <br /> harmless the County, its off'icers, agents and employees from all claims, damages, suits, or <br /> actions of every name, kind, and description, arising out of or relating to the matters covered by <br /> this Agreement to the extent that such claims, damages, suits or actions are due to the negligence <br /> ATTY/AGR/2013.096/COST SHARING AGREEMENT FOR SPRING STREET <br /> REV:06-21-13 VR <br /> Page 3 of 5 <br />
