City Draft <br /> 6/28113 <br /> 3.4.13 Consistencv Finding. The Planning Commission of the City has <br /> determined that the disposition of the City Property ta the DeveZoper pursuant to this Ageement <br /> is consistent with the City's General Plan, in accordance with Government Code Section 65402; <br /> 3.4.14 Parking Covenant and Agreement. The parties have executed and <br /> deposited into Escrow the Parking Covenant and Agreement in substantially the form attached <br /> hereto as Exhibit I; <br /> 3.4.1 S License A reement for Wxnslow Lot. The parties have executed and <br /> deposited into Escrow the License Agreement for Winslow Lat in substantially the form attached <br /> hereto as Ext�ibit J; <br /> 3.4.16 Environmental Holdback A�reement; The parties have executed and <br /> deposited into Escrow the Environmental Holdback Agreement in substantially t�e form attached <br /> hereto as Exhibit K; and <br /> 3.4.17 De�eloper's Material Obligations. The Developer performs all of its <br /> other material obligations required to be performed by the Developer under this Agreenaent prior <br /> to the Close of Escrow. <br /> 3.5 Developer's Escrow Depos�ts. At least one (1) b�xsiness day prior to the Escrow <br /> Closing Date, the Developer shall deposit the fol�owing described funds and documents into the <br /> Escrow, or deliver to the City, as applicable: <br /> 3.5.1 Purchase Price. The Purchase Price, plus any additional funds <br /> required to be deposited into the Escrow; <br /> 3.5.2 PCO Report. A PCO Report executed by the authorized <br /> representative(s) of the Develaper; <br /> 3.5.3 Insurance Doc�ents. Any copies of insurance policies or original <br /> certificates of insurance required to be delivered to the City by the Developer on or before the <br /> CIose of Escrow,pursuant to Section 2.6; <br /> 3.5.4 Acceptance of Citv Deed. Developer's acceptance of the pravisions of <br /> the City Deed {Exhibit E), executed by th.e authorized representative(s) of the Developer in <br /> recordable form; <br /> 3.5.5 Notice of Agreement. The Notice of Agreernent(Exhibit F} executed <br /> by the authorized representative(s)of the Developer in recordable form; <br /> 3.S.b Loan Mort�a�e. If applicable, a Mortgage securing repayment of the <br /> Senior Loan, if applicable, executed by the authorized represe�ritative(s} of the Develaper in <br /> rccordable form, to be recorded against the Szte at the Close of Escrow (if not previously <br /> recorded); <br /> 3.5.7 Parkin� Covenant and A�xxeement.
