The Environmental Holdback <br /> Agreement (Exhibit I� executed by Developer; and <br /> 3.5.11 4the�r Funds and Documents. Such other funds or documents �required <br /> from the Developer under the terms of this Agreement to close the Escrow or by the Escrow <br /> Agent in the performance of the Escrow Agent's contractuaI or statutory obligations regardxng <br /> the Escmw. <br /> 3.6 City's Escrow Deposits. At least one {1) business day prior to the Escrow <br /> Closing Date, the City shall deposit the fallowing described funds and documents into the <br /> Escrow: <br /> 3.6.1 Ci , Deed. The City Deed {Exhibit E) executed by the authorized <br /> representative{s) of the City in recordable farm; <br /> 3.6.2 FIRPTA Affidavit. The FIRPTA Af�idavit cornpleted and executed by <br /> the authorized representative(s)of the City; <br /> 3.G.3 Notice of Agreement. The Notice of Ageernent (Exbibit F) executed <br /> by the autharized representative(s} of the City in recordable form; <br /> 3.6.4 Farm 593. A Form 593 executed by the authorized representative(s} <br /> of the City; <br /> 3.6.5 Parkin Covenant and A eement. The Parking Covenant and <br /> Agreement executed by the authorized representative{s) of the City in recordab�e fozm; <br /> 3.b.6 Environmental Holdback Aereement. The Environmental Holdback <br /> Agreement(Exhibit K) executed by the authorized representative(s) of the City; and <br /> 3.6.7 Other Funds and Documents. Such other funds or docutnents required <br /> from the City under the terms of this Agreement to close the Escrow or by the Escrow Agent in <br /> the performance of the Escrow Agent's contractual or statutory obligations regarc�ing the <br /> Escrow. <br /> 3.7 Closing Proeedure. When each of the DeveIoper's Escrow deposits, as set forth <br /> in Section 3.5, and each of the City's Escraw deposits, as set forth in Section 3.6, are deposited <br /> into the Escrow,the Escrow Agent shaJ.l request confirmation in writing from both the Developer <br /> and the City that each of their respective conditions to the Close af Escrow, as set forth in <br /> Section 3.3 and Section 3.4, respective, are satisf ed or waived.
