Parties <br /> The City of Redwood City, charter city and Municipal Corporation of the State of California, ("CITY") will participate in this <br /> Memorandum of Understanding (MOU) with Sequoia Healthcare District, a governmental entity in Redwood City, California, <br /> ("SHD"). <br /> II.Intent <br /> A critical need exists for consistent physical education and physical activity opportunities for students during the school day. By <br /> increasing physical activity during the school day,along with positive and consistent health messages,it is anticipated that students <br /> will have greater physical fitness, improved self-esteem, lower levels of anxiety and stress,an increased sense of wellbeing,and <br /> improved academic achievement. SHD wishes to provide funding for CITY to provide a program to the Redwood City School <br /> District("RCSD")to assure that children in the RCSD have access to physical education opportunities and the benefits attendant <br /> thereto. It is intended that the CITY program curriculum will follow the PE+ Program. <br /> In setting forth the goals and mutual objectives of the parties to this Agreement,SHD and CITY recognize that RCSD is not a party <br /> to this Agreement and that the CITY's program funded by SHD cannot be carried out absent RCSD's cooperation and <br /> implementation of the program. RCSD is not a party to this Agreement and in order to effectuate this Agreement, RCSD would <br /> need to agree to the continued delivery of this program and this agreement with CITY. <br /> III.Term of Agreement;Termination of Agreement <br /> A.The term of this Agreement commences July 1, 2012 and ends on June 30, 2015 unless terminated as set forth <br /> be low. <br /> B.Termination <br /> 1.SHD.SHD intends to fund three annual grants(annual amounts may vary)to CITY beginning July 1,2012 and ending <br /> June 30,2015.SHD may reduce or eliminate the intended funding if a) SHD's Directors decline to collect property <br /> taxes for any of the three years in the funding cycle, (b) a significant portion of SHD's property tax revenues are <br /> borrowed or otherwise taken by the State of California, (c) SHD's Directors discontinue the allocation of funding to <br /> the Healthy Schools Initiative Program,or(d)CITY fails to fund positions or programming described in this MOU or <br /> fails to substantially comply with its obligations under this MOU. <br /> 2.CITY may terminate this agreement as follow: <br /> a. In the event that SHD does not provide funding as identified herein; <br /> b.CITY may decline such funding for any reason; <br /> c.CITY determines that it is unable to hire qualified personnel within the funding amounts secured through this <br /> Agreement; <br /> !
