6.1.E. - Page 3 FIRST AMENDMENT TO THE LICENSE AGREEMENT BETWEEN THE CITY OF REDWOOD CITY AND RUDOLPH AND SLETTEN, INC. THIS AMENDMENT NO. 1 TO LICENSE AGREEMENT ("Amendment") is entered into as day of , 2013 (the "Effective Date"), by and between THE CITY OF REDWOOD CITY, a charter city and municipal corporation of the State of California ("CITY"), and RUDOLPH AND SLETTEN, INC, a California corporation ("LICENSEE"). RECITALS A. CITY and LICENSEE entered into that certain "License Agreement", dated January 28, 2013, granting LICENSEE the temporary right to use a portion of the City Property located at 707 and 777 Bradford Street, California ("Original City Property"), for years. B. LICENSEE has requested additional space on the City's property as more particularly described in Exhibit A attached hereto and incorporated herein by reference ("Expansion Space"), to accommodate these trailers for up to three months. C. The Expansion Space is currently unimproved land with a gravel surface. D. CITY is willing to provide to LICENSEE a license to use the Expanded Space along with the Original City Property already licensed on the terms set forth herein. AGREEMENT NOW, THEREFORE, for good and valuable consideration, receipt of which is hereby acknowledged, the parties agree as follows: 1. Temporary Expansion. a. Expansion Space. Effective as of the Amendment Commencement Date (defined below), CITY confers to LICENSEE a revocable, personal, non-exclusive and non- possessory privilege to enter upon and use that certain Expansion Space consisting of approximately 3,000 square feet, for the limited purpose and subject to the terms, conditions and restrictions set forth below. This Amendment gives LICENSEE a license to the Expansion Space only and notwithstanding anything to the contrary herein, this license does not constitute a grant by CITY of any ownership, leasehold, easement or other property interest or estate whatsoever in the Expansion Space, or any portion thereof. Nothing in this Amendment shall be construed as granting or creating any franchise rights pursuant to any federal, state or local laws. LICENSEE accepts the Expansion Space in its "AS IS" condition, without representation or warranty of any kind by CITY, its officers, agents or employees, and subject to all applicable laws, rules and ordinances governing the use of the Expansion Space. Without limiting the foregoing, this license is made subject to any and all existing and future covenants, conditions, restrictions, easements, encumbrances and other title matters affecting the Expansion Space, whether foreseen or unforeseen, and whether such matters are of record or would be disclosed by an accurate inspection or survey.
