City requires the professional services of a project manager for the <br /> Highway 101184 �nfierchange Reconstruction Project. <br /> �. Consu{tant has the necessary experience ir� providing prQfessional <br /> services and ad�ice. <br /> C. Selection af Consultant is expected to achieve the desired results in an <br /> expedited fashion. <br /> D. Consuftant has submitted a proposal to City and has affirmed its <br /> willingness and ability to perForm such work. <br /> NOW, THER�F'OR�, ir� consideration af these recifals and the mutual cover�anfs <br /> contained herein, #�e Parties agree as fol[ows: <br /> 1. S_cnpe of Work. City retair�s Cor�sultar�t to perForm, and Consultant agrees to <br /> render, those s�rvices (t�e "Servic�s") that are defined in attac�ed Exhibit "A," which is <br /> incorporated herein by reference. Standard afi PerFormance. While perForming the Services, Consultant will <br /> exerc�se the reasanable professional care and skiil customarily exercise� by reputabie <br /> members of Cansultanf's profession practicing in the urban Northern California Area, <br /> and will use reasonable diligence and best judgment while exercising its prafessianal <br /> skill and expertise. <br /> 3. Term. Unless earlier terminafed, t�e �erm of this Agreement will commence upon <br /> the date first aba�e writter� and shall expire upon completion of performance of Services <br /> hereunder by Consultant or a period of six months, whichever oecurs first. <br /> 4. Scheduie.
