drawings and specifications, whether in hard copy or machine-readable form, are intended for one-time use in the construction of the project for which this Agreement has been entered into. In the event this Agreement is terminated, all work product produced by Consultant or its agents, employees and subcontractors pursuant to this Agreement will be delivered to City pursuant to the termination clause of this Agreement. Consultant will have the right to make one (1) copy of the work product for Consultant's records. City shall not be limited, in any way, in the use of said material, at any time, for work associated with the Scope of Work. However, Consultant shall not be responsible for damages resulting from the use of said material for work other than the Scope of Work, including, but not limited to the release of this material to third parties for work other than on the Scope of Work. Any subcontract in excess of $25,000 entered into as a result of this Agreement, shall contain all of the provisions of this Section. 15. Copvriqhts. Consultant agrees that all copyrights that arise from the Services will be vested in City and Consultant relinquishes all claims to the copyrights in favor of City. 16. Notices. The name of the persons who are authorized to give written notices or to receive written notice on behalf of City and on behalf of Consultant under this Agreement. Each party will notify the other immediately of any changes of address that would require any notice or delivery to be directed to another address. 17. Conflict of Interest. City will evaluate ConsultanYs duties pursuant to this Agreement to determine whether disclosure under the Political Reform Act and City's Conflict of Interest Code is required of Consultant or any of ConsultanYs employees, agents, or subcontractors. Should it be determined that disclosure is required, Consultant or ConsultanYs affected employees, agents, or subcontractors will complete and file with the City Clerk those schedules specified by City and contained in the Statement of Economic Interests Form 700. Consultant, for Consultant and on behalf of Consultant's agents, employees, subcontractors and consultants warrants that by execution of this Agreement, that they have no interest, present or contemplated, in the projects affected by this Agreement. Consultant further warrants that neither Consultant, nor Consultant's agents, employees, subcontractors and consultants have any ancillary real property, business interests or income that will be affected by this Agreement or, alternatively, that Consultant will file with City an affidavit disclosing this interest. Consultant further warrants that it does not now have, nor shall it acquire any financial or business interest that would conflict with the performance of services under this agreement.
