volume projections on freeway segments, roadway segments and intersection <br /> turning movements in the Travel Demand Forecasting memorandum. <br /> • Compensation for this work shall be not-to-exceed $10,656 <br /> • Total compensation for Truck Data and Analysis shall be not-to-exceed $18,480 <br /> Reduction in Payment for Outsourced Travel Model Services (Deduction in Payment <br /> under Task 3 Traffic Forecast and Operational Analysis of Agreement) <br /> • Agreement requires Consultant to pay for outsourced travel model services necessary <br /> to complete traffic forecasts defined in Task 3 of the scope. However, circumstances <br /> regarding contracting for such services precluded this and will require the City to pay <br /> for these outsourced services. The Consultant's scope of work is not modified by <br /> Amendment 1; the total Agreement not-to-exceed compensation is reduced by the <br /> amount the City has agreed to pay for the outsourced travel services,which is$16,320 <br /> as outlined below. City and Consultant agreed to use C/CAG 2011 Travel Model and <br /> engage the Santa Clara Valley Transportation Authority (VTA)to run the model under <br /> its existing contract with C/CAG; this was made possible by C/CAG contingent upon <br /> City reimbursing C/CAG for the contracted VTA services. <br /> • Furthermore, City and C/CAG agreed that City will reimburse C/CAG for certain <br /> necessary outsourced travel model services up to a maximum of $16,320, which <br /> includes $13,600 for base services and a contingency for potential additional services <br /> in the amount of $2,720. <br /> • Therefore, total reduction in City payment to Consultant for this item is -$16,320. <br /> • If total payment from City to C/CAG is less than $16,320, a supplemental amendment <br /> to the Agreement will be required. <br /> The net value of Amendment 1 services is therefore $2,160 ($18,480 - $16,320). <br /> ATTY/AGR/2014/AMENDMENTS/AMEND N0.1 URS CORPORATION <br /> REV:08-18-14 VR <br /> Page 5 of 5 <br />
