Hold Harmless. Owner agrees to and shall hold City and its elected ofFicials, afficers, a�ents and employees �armless from liability for damage ar claims for damage fior personal injuries, ir�cluding death, and claims for property damage which may arise from the direct or indirect use or operations of Owner or those of his contractor, subcontractor, agent, employee or other person acting on his behalf which relate to the use, operation and maintenance of the Histaric Property. Owner hereby agrees to and shalt defend the City and its elected officials, officers, agents and employees with respect ta any and all actions fior damages caused by, ar allegecf to ha�e been caused by, reason of Owner's activities in connection with the Historic Proper�y. Status of Parties. None of the terms, provisions or conditians of th�s Cantract shal4 be deemed to create a partnership between th� parties hereto and any of their heirs, succ�ssors or assigns, nor shall such terms, provisions or conditions cause them to be considered jaint v�nt�rers or members of any joint enterprise. 12. California Law. This Contrac� shall be construed and governed in accordance with the faws of the State of Califarnia.
