City requires the professiona� services of a cansuEting engineering firm. <br /> B. Consultant has the necessary exper�ence in pro�iding professional <br /> services and ad�ice. <br /> C. Selection of Cansultartt is expected to achieve the desired results in an <br /> expedited fashion. <br /> D. Consultant has submitted a propasal ta City and has affirmed its <br /> willingness and ability t� perform such ►rvork. <br /> NOW, THEREFORE, in cQnsideration of t�ese recitals and the mutual cavenants <br /> eantai�ed herein, the Parties agree as follows: <br /> 1. Scope of Wark. City retains Consultant to per�orm, and Consultant agrees to � <br /> ren�er, tfiose services (t}�e "Services") tf�at are defined in attached Exhibit "A," which is <br /> incorporated herein by reference. In th� e�ent of a confEict betwee� the pro�isions of <br /> Exhibit "A" and the terms of this Agreement, the terms of this Agreement shall prevaif. <br /> City shafl ha�e the right to modify #he scope of vvork to delete tasks in whofe or in part. It <br /> is anticipate� tf�at additianal work may be added to this scope of work at some time in <br /> the future, however, such additior�al work and additional fee s�al! be added only through <br /> ar� amendme�t #o this agre�m�nt. <br /> 2. Standard of Perforr�ance. While performing the Services, Consulta�� will <br /> exercise the reasonable prafessional care and skill customarily exercised by reputable <br /> members of Consuitant's profession practicing in the �rban Northern Caiifornia Area, <br /> and will use reasanable diligence and best judgment while exercising its professional <br /> skill and expertise. <br /> 3. Term. Unless earEier terminated, the term o#this Agreement will commence �pon <br /> the date first abo�e ►rvritten and shall expire upan completion of perFormance of 5e�vices <br /> hereunder by Consultan#. <br /> 4. 5chedule.
