4.1.C. - Page 10 <br /> Consultant's work product or other unavoicfable delays occasioned by circumstances; <br /> pro�ided, further, that such ur�a�oidable delay will not include stri}ces, lockouts, work <br /> stoppages, or other labor disturbances canducted by, or on behaff of, Cansultant's <br /> officers or employees. <br /> Consultant acknovuledg�s the impor#ance to City of City's project schedule and agrees <br /> to use its best professional efforts #o meet the schedule. City understands that <br /> Consultant's performance must be go�erned by sound practices. <br /> 5. Time is of the Essence. Time is af the essence for each and every pro�ision of <br /> this Agreemer�t. <br /> 6. Compe�sation. City shall pay to Consultan� an amount not to exceed Ot�e <br /> hundred ten thousand and 001�00 Dollars ($110,000.00) for fhe completion of all <br /> the work and ser�ices described herein, which sum shall include all costs or <br /> expenses incurred by Consultant, payable as set forth in Exhibit B, attached . <br /> hereto and made a part hereof by reference. <br /> 6.1 An applicatiort for payment form must be submitted to City which shall ir�clude <br /> the following: a ciear, detailed in�oice reflecting work being billed for, a summary . <br /> sheet showing hourly rates, hours worked, percentage of work completed to � <br /> date, amount{percent billed to date ar�d current status of all tasks within a prvject, <br /> anylall backup docum.entation suppor�ing the abo�e items. Work schedule <br /> updates mus� also be incl�d�d with the payrment requests. <br /> 6.2 Consultant shall maintain adequate records and shall permit inspection ar�d <br /> audit by City of Cor�sultant's charges u�der this Con�ract. Cons�ltant shalf make <br /> such records available to City during normal business ho�rs upon reasonable <br /> notice. Nothi�g �erein shall convert such records into public records, and they <br /> will be avaifable only to City ar�d any specified p�blic agpncies. Such and they <br /> will be a�ailabfe only to City and any specified pu�lic agencies. S�ach records <br /> shall be maintained by Const�l#ant for one (1) year following completion of the <br /> work under this Contract unless a longer period of time is required by state or <br /> federa[ law, in which event Consultant shall retain its records for the time <br /> requ�red by s�ch laws. <br /> 6.3. The payment made to Cons�altant pursuant to the Agreement will be the full and <br /> complete compensation to which Consultant is entitled. City wi[I nat r�ake any federal <br /> or state tax withhaldings on behalf of Consultant or its agents, employees or <br /> subcontractors. City will not be required ta pay any �rvarkers' compensatior� insurance ar <br /> unemploymer�t contributians on beha{f of Consultant or its employees or subcontractars. <br /> Car�sultant agrees to reimburse City within thirty (30) days far any tax, retirement <br /> eontributior�, social security, o�er�ime payment, unemployment payment or worlcers' <br /> compensatior� payment which City makes on behalf of Consultant ar any agen#, <br /> employee, or subcontractor of Cons�ltant for work done under t�is Agreement.
