this contract will not be based on price alone. Factors that would affect t 17.1.A. - Page 10 and the benefits to be derived by The City will be considered. The Selection Advisory Committee's decision as to which supplier best meets The City's need will be final. The City reserves the right to reject any and all bids and to waive any informality in bids received. 4.3. Contract Terms The City will award the contract for one (1) year from the final execution by The City. The contract may be renewed for up to three (3) consecutive one -year terms at the discretion and approval of The City. The City reserves the right to terminate this contract upon tendering thirty (30) days written notice to the Proposer. Purchases of LED street luminaires will abide by "just -in- time" purchasing practices to correspond to the phased installation plan of all 2,500 luminaires. The City's goal is to purchase inventory as needed so that The City does not keep additional inventory on hand. Quantity of LED street luminaire required and frequency of purchases will vary and The City makes no guarantees as to the total number of luminaires it will purchase. The pricing provided by Proposer in Attachment A — Quotation for Phased LED Street Luminaire Replacement will be utilized as outlined in "12.2 Quantities and Pricing ". 4.4. Cooperative Purchasing Redwood City Municipal Code provides that other governmental agencies may cooperatively purchase goods and services from this solicitation or contract in accordance with the terms and prices indicated therein if all parties are willing. 4.5. Business License The successful Proposer that is awarded the Agreement will be required to be licensed in accordance with the City of Redwood City Business License Ordinance, Municipal Code Chapter 32.101 through 32.156, entitled "Business Tax ". Proposal Format These instructions outline the guidelines governing the format and content of the Proposal and the approach to be used in its development and presentation. The intent of the RFP is to encourage responses that clearly communicate the Proposer's understanding of The City's requirements and its approach to successfully provide the products and /or services on time and within budget. Only that information which is essential to an understanding and evaluation of the Proposal should be submitted. Items not specifically and explicitly related to the RFP and Proposal, e.g. brochures, marketing materials, etc. will not be considered in the evaluation.
