1.6 Access to Records and Recoi�d Reten�ion. At all reasonable times, SPONSOR shall <br /> pertnit the TA access to alI reports,designs,drawings,plans, specifications,schedules <br /> � and other materials prepared,or in the process of being prepared,for the�roj ect by the <br /> SPONSOR or any conhactor or consultant of the SPONSOR. SPONSOR shall also make <br /> available to the TA upon request any professional service agreements,change orders and <br /> any other agreements that are entered into for the peei�formance of Project-related work <br /> and services. The SPONSOR shall provide copies of any documents described in this <br /> Section to the TA if the TA requests such documents. SPONSOR shall retain all records <br /> perta.ining to tlxe Project for at least three years after completion of the Project. <br /> 1.7 Right to Audit. The TA,or its authorized agents,may,at any reasonablc time during <br /> business hours,conduct an audit of the SPONSOR's pei�formance under this Agreement. <br /> Tl2e SYONSOR shall permit the TA,or its authorized�agents,to examine,inspect,make <br /> excerpts fiom,transcribe or phot000py books;documents,papers and other records of the <br /> SPONSOR which the TA reasonably determines to be relevant to this Agreement. <br /> SECTION 2:Funding and Payment <br /> 2.1 Fundin�Commitment. All funding obligations of the TA under this Agreement are <br /> subject to tl�e availability of funds in tlae azunual budget of the TA. The TA has allocated <br /> to the SP(JNSOR$241,811 over iwo years to be used towards SPONSOR's expendihtres <br /> related to the Project{"Pi�oject Costs"). The TA shall make this amoun.t available to#he <br /> SPONSOR as provided in this Section 2. The SPONSOR will contribute,or provide for <br /> the contribution of, any amount in excess of$241,811 needed to implement the Project <br /> . • and shall provide at least 45%of the total Project Costs. The TA's funding commiiment <br /> under this Agreement shall in no way establish a right for the SPONSOR to�receive <br /> additional funding from the TA in connection with or related to this I'roj ect.All funding <br /> obligations of the TA under this Agreement are subject to downward adjustment based on <br /> � acival sales tax receipts for the�iscal years indicated,or if SPONSOR receives funcliag <br /> for Project Cos�s fi:om other sources which allow SPONSOR to provide more than 45% <br /> of the total Project Costs over the term of the Agreement. <br /> 2.2 Use of Funds. SPONSOR agrees that it shall use funds provided p�usuant to this <br /> Agreement to supplement existing revenue,that funds provided pursuant to this <br /> Agreement may not be used to replace funds previously provided by local taxes or other <br /> local revenues for transportation purposes,and tliat the SPONSOR will li.mit the use of <br /> funds provided pursuant to this Agreement for the Project. If the TA determines that the <br /> SPONSOR has used fiinds provided pursuant to this Agreement other than for the <br /> approved Project,the TA will notify SPONSOR of its determination.
