, ,. <br /> ORIGfNA1,. <br /> LICENSE AGREEMENT <br /> (International Institute of the Bay Area) <br /> THIS LICENSE AGREEMENT ("Agreement" or "License"), is made and entered into as of <br /> the _��day of� 2014 ("Effective Date") by and between the CITY OF REDWOOD <br /> CITY, ("City" or "licenso a charter city and municipal corporation of the State of California, <br /> and the INTERNATIONAL INSTITUTE OF THE BAY AREA, a private non-profit corporation in the <br /> State of California ("Licensee") (collectively, the "Parties" or the "Parties to this License"). <br /> RECITALS: <br /> A. WHEREAS, Licensor is the owner of record of the real property and improvement <br /> located at Fair Oaks Community Center, 2600 Middlefield Road, Redwood City, <br /> California, 94063; and <br /> B. WHEREAS, Licensor values the services of Licensee, which has provided immigration <br /> and citizenship services at the Fair Oaks Community Center since 1974; and <br /> C. WHEREAS, Licensor has reviewed the programs and services provided by the Licensee <br /> and desires the Licensee to continue to provide its programs and services; and <br /> D. WHEREAS, Licensee requires additional office space to continue to provide programs <br /> and services and Licensor has agreed to rent this office space for a monthly fee at the <br /> location described on Exhibit "A," attached hereto and incorporated by this reference; <br /> and <br /> E. WHEREAS, Licensor requires Licensee to perform, and Licensee agrees to render, those <br /> services that are defined in Exhibit "B," attached and incorporated by this reference in <br /> accordance with the terms and conditions set forth herein; and <br /> NOW THEREFORE, in consideration of these recitals and the terms, covenants, and <br /> conditions contained herein, Licensor and Licensee agree as follows: <br /> 1. GRANT OF LICENSE. <br /> 1.1 The recitals set forth above are true and correct, and are hereby incorporated <br /> herein by this reference as if fully set forth in their entirety. <br /> 1.2 Licensor hereby grants to Licensee a revocable, personal, exclusive and non- <br /> possessory privilege to enter upon and use the Premises (as defined below) for <br /> the limited purpose of providing the Services set forth in Exhibit B, and subject <br /> to the terms, conditions and restrictions set forth below.
