-. � �.r r�rr�+r.r�r �r�� - �RiGIN�L KNOVYLEDGEABLE 1NNC?VATIVE �STABLI�NEL'} FLEX-PLAN SERV[CES IAiCORYORA7'E;D FLEXI-PASS ADMINISTRATIVE SERVICES AGREEMENT (For Section 132 Debit Card Program) This agreement(the"Agreement")between Flex-Plan Services, Inc.("Flex-Plan")and City of Redwood City ("Employer"),effective October 1,2014 specifies the responsibilities of Employer and the services to be provided by Flex-Plan to Employer,and to Employer's eligible employees("Pa�ticipants"),in the administration of Employer's Flexi-Pass Program(the"Program")under IRC Section 132. WHEREAS,the Employer desires to engage Flex-Plan to provide administrative services in the form of debit card processing,reimbursement, recording keeping and other services under the Program for Qualified Transportation Benefits. NOW,THEREFORE, in consideration of the mutual promises contained in this Agreement, Employer and Flex- Plan agree as follows: 1. DEFINITIONS 1.1 Changes Only File. The Changes Only File shall mean the file format sent by Flex-Plan to Employer for Employer to populate with the Participant name, ID number,complete address, phone number,email address,and,if applicable, Participant level subsidies for only those Participants who have had changes to the aforementioned data,for new Participants,and Participants terminating from the Program.The employer submits the Changes Only File by the fifth(5"')of each month. 1.2 Initial Payroll Deduction Reporf. Initial Payroll Deduction Report shall mean the report detailing funds ordered,adjustments,and,if applicable, Employer level subsidy amounts as of 11:59 PST on the 20"'of the month. 1.3 Final Payroll Deduction Report. Final Payroll Deduction Report shall mean the Initial Payroll Deduction Report as amendment by the Employer for that month. 1.4 /nitial Eligibility File. Initial Eligibility File shall mean the file format sent at implementation of the Program by Flex-Plan to Employer for Employer to populate with the Participant name, ID number,complete address,phone number,email address,and, if applicable, Participant level subsidies. 1.5 Order Cut-Off Date. Order Cut-Off Date shall mean the date and time by which Participants must order funds such that Flex-Plan may load debit cards or issue reimbursement for the following month. Funds must be ordered b�11:59 PST on the 20"'of each month. No orders will be accepted after 11:59 PST on the 20 of each month. Participants may resume ordering on the 1�`of the following month for the subsequent month. 1.6 Standard Plan Document.Standard Pian Document shall mean the written document that govems the Program. 1.7 Standard Summary Plan Description.Standard Summary Plan Description shall mean the written summary of the Program. 1.8 Transit Pass. Transit Pass means any pass,token,farecard,voucher,or similar item entitling a person to transportation(or transportation at a reduced price)if such transportation is:a)on mass transit facilities(whether or not publicly owned),or b)provided by any person in the business of transporting persons for compensation or hire if such transportation is provided in a Commuter Highway Vehicle as defined by IRC Section 132(fl(2)(B). 1.9 Qualified Parking. Qualified Parking shall mean parking provided to a Participant at or near the business premises of the Employer;and parking provided to a Participant at or near a location from which the Participant commutes to work by mass transit, by vanpooling, in a commuter highway vehicle, by carpool,or by any other means. 1.10 Qualified Transporta6on Benefits. Qualified Transportation Benefits means the following provided by the Employer to the Participant: transportation in a commuter highway vehicle if such transpo►tation is in connection with travel between the Participant's residence and place of employment;any Transit Pass;Qualified Parking.
