��r��._� AGREEMENT Ft}R CQNSllLTANT SERVICES Jeanne Sullivan 8itleci /S� Y �l�r�a �� THIS AGREEMENT is made and entered in#o as of the 1 � da of 2016, by and between the CITY OF REDW�00 CITY, a charter city and municipal corporation of the State of Galifarnia{"City"}, and Jeanne Sullivan Billeci, a Public Relativns Consuitant("ConsuEtant"). RECITALS City requires cer#ain public relations consulting services. Consultant has the necessary experience in providing these professional services, has submitted a propasal to City, and has affirmed its willingness and ability ta perform such work. N{}W, THEREFdRE, in cansideratian of these recitals and the mutual cavenants contained herein,the Pa�ties agree as follaws: 1. Scope of Work. Gansultanf agrees#o perform those services{the"Services"}that are defined in Exhibit "A," attached hereta and incc�rparated herein by reference. In the euent af a conffict between the provisians af Exhibit "A" and the terms af this Agreement, the terms of th[s Agreement shall prevail.City shall have the right to madify the scope af work to delete tasks in whale or in part. 2. 'Ferm. Unless earlier terminated, this Agreement will be ef�ective for a period of one to twa months from the date first above written. 3. Gampensation. Payment shalE be made to the Consultant at a ra#e of$125 per hour,The tataC fee payab[e for the Services ta be perEormed during the initia{term of this Agreement shall not exceed $12,4{l0 {Twelve Thousand �our Nundred Dollars). Payment will be made pursuant to the #erms of Exhibit "A." No other compensafion for #he Se�vices will be allowed, except for items covered by subsequent amendments ta this Agreement. Gity reserves the right to withhald a ten percent (10°!0} retentian until City has accepted the Services spec�ed in Exhibit "A." �r�,�re sn�n �e no aaa�t►onai charge for expenses unless agreed ta by City. Payment shall occur only after receipt by City of invoi�es sufficiently detailed tra include hourly rates, hours warked, and tasks pe�formed, unless otherwise agreed ta by City. 4. Status of Gonsultan#. Cansultant wiEl perform the Senrices as an independent contractor and in pursuit af Consul#ant's independent calling, and not as an employee of City. Gonsultan# will be under the control of Gity on[y as ta the results to be accomplished. 5. Indemnifcation. Consultant will defend, indemnify and hold harmless City, and its afficers, agents, emplayees and volunteers from and against all claims, damages, losses and expenses including at#omey fees arising out of the performance of the Services, caused in whale or in part by the willful misconduct or any negligent act or omission of the Consultant, any�ubcontractor, anyone directly ar indirectly emplayad by any of them or anyone far whose acts any af them may be liable, excspt where caused by the sole negligence ar willful misconduct af Ciky. The Parties expressfy agree that any �easonable payment, attorney's fee, costs ar expense City incurs or makes to or on behalf of an injured employee under the City's seffi-administered workers' compensation is inc[uded as a loss, expense or cosk for #he purposes af this sec#ion, and that ihis section vuill survive the expiration or early termination af the Agreement. 6. Insurance. Consultant shall abtain and maintain for the duration of the Agreement and any and all amendments, insurance against claims for injuries to persons or damage to property which may arise out af or in connectian with perfarmance of the Services by Consuftant oe Gonsultant's agents, representatives, emplayees or subcantractors.
