WIRELESS COMMUNICATIONS SITE LICENSE AGREEMENT <br />This Wireless Communications Site License Agreement ("License") is made as of the <br />latter of the signature dates below ("Effective Date"), by and between The City of Redwood City, <br />California ("Licensor"), a charter city and California municipal corporation having a mailing <br />address at 1017 Middlefield Road, Redwood City, CA 94063, and Sprint Spectrum L.P., a <br />Delaware limited partnership ("Licensee"), having a mailing address of 6391 Sprint Parkway, <br />Overland Park, KS 66251. Licensor, Licensee and any permitted Authorized Sublicensees (as <br />defined in Section 4.2 below) are sometimes refereed to herein individually as a "Party" and <br />collectively as the "Parties," <br />WHEREAS, Licensor and Licensee are parties to that certain Lease Agreement — <br />Communication Site, dated December 14, 2006 ("Existing Lease") Property (defined below), <br />whereby Licensor leases the Premises (as defined below) to Licensee in connection with a federally <br />licensed communications business; and <br />WHEREAS, as of the Commencement Date (as defined below) the Parties wish to <br />supersede all of the terms, covenants and conditions of the Existing Lease with the terms, <br />covenants and conditions of this License, and to confirm that as of the Commencement Date, their <br />obligations under the Existing Lease shall be deemed fully performed, and each shall be fully <br />discharged from their respective obligations thereunder, and without the necessity of a further <br />writing exchanged between them. The previous sentence notwithstanding, both Parties intend that <br />any indemnification obligations of Licensee and Licensor that have accrued during the term of the <br />Existing Lease, if any, will survive the termination of the Existing Lease. <br />1. GRANT OF AUTHORITY <br />1.1.1 Licensor is the record owner of real property generally located at the 500 <br />Block of California Way, in the City of Redwood City, County of San Mateo, State of California <br />94062, Assessor's Parcel Number 068-173-300, legally described in Exhibit "A" (the <br />"Property"). Subject to the terms and conditions of this License, Licensor hereby grants to <br />Licensee an exclusive license to portions of the Property, all of which are clearly and particularly <br />described and depicted on Exhibit "B" attached hereto and incorporated herein by reference. Such <br />portions of property and improvements described and depicted in Exhibit "B" shall hereinafter <br />collectively be refereed to as the "Premises" and consist of the following approximately seven <br />hundred square feet (the "Equipment Area") as enclosed by an existing chain-link fence within <br />which includes an existing building owned by Licensee ("Building") and a tower owned by <br />Licensee ("Tower") for the placement and use by Licensee of its Facilities (as defined in Section <br />1.4 below) and as described and depicted in Exhibit `B"; and <br />1.1.2 those certain underground spaces where Licensee's conduits, utility lines, <br />wires, cables, pipes and other necessary connections may be installed and maintained between the <br />Equipment Area and the electric power, telephone, and the edge of the Property nearest to the fuel <br />sources for the Property (hereinafter collectively referred to as the "Connection Area"), which <br />spaces have been mutually and reasonably designated by the Parties prior to construction as <br />depicted in Exhibit `B"; and <br />9 Page 1 of 35 <br />ATTY/AGR/2017.039/SPRINT LEASE AGREEMENT <br />REV: 05-12-17 JS <br />
