<br />ORIGINAL <br /> <br />AGREEMENT <br />FOR <br />A r -RISK CONSTRUCTION MANAGEMENT SERVICES/GENERAL CONTRACTOR <br />SERVICES DURING CONSTRUCTION OF THE <br />HISTORIC COURTHOUSE RECONSTRUCTION PROJECT <br /> <br />THIS AGREEMENT, made and entered into thiS~y of ~, 2005, by and <br />between the CITY OF REDWOOD CITY/REDEVELOPMENT AGENCY~ charter city and <br />municipal corporation of the State of California ("City/Agency"), and DPR Construction, Inc. of <br />Redwood City, California ("CM/GC"), with reference to the following facts: <br />RECITALS <br />A. The City/Agency is reconstructing the exterior portico of the Historic San Mateo <br />County Courthouse, including replacing the entry portico and parapets on the existing building, <br />located at 2200 Broadway, Redwood City, California (the "Project"). <br />B. The City/Agency has decided to retain the services of a qualified Construction <br />Manager/General Contractor with expertise in the renovation of historic structures. <br />C. CM/GC has provided preconstruction services for the Project and represents that <br />it is qualified and has the experience to perform construction management at-risk services and <br />general contractor services during construction as described in this Agreement. <br />The City/Agency and CM/GC agree as follows: <br /> <br />AGREEMENT <br /> <br />Section 1. <br /> <br />DEFINITIONS: <br /> <br />A. <br /> <br />"Architf:ct" is the firm of DES Architects, 399 Bradford Street, Redwood City, CA 94063; <br />telephone (650) 364-6453. <br />"Contract Documents" include this Agreement and all Exhibits, the General Conditions, <br />Special Conditions, construction plans and specifications and such other documents as <br />may be identified in an Amendment to this Agreement in which the parties establish the <br />Final Agreed Price for the Project. <br />"Contract Time" is the period of time for achieving Final Completion (as defined below) of <br />the Project, as that date may be extended in accordance with the Contract Documents. <br />The Contract Time will be fixed in the Amendment to this Agreement in which the parties <br />agree to the Final Agreed Price. The term "day" as used in reference to the Contract <br />Documents shall mean calendar day unless specifically designated otherwise. <br />"Final Agreed Price" is the not-to-exceed cost to the City/Agency of all Work and <br />Services to be performed in connection with the Project under this Agreement, <br /> <br />B. <br /> <br />C. <br /> <br />D. <br /> <br />Atty/Agr/2005.003 <br />030805/L.
