<br />AGREEMENT BETWEEN THE SAN MATEO COUNTY SUPERINTENDENT OF
<br />SCHOOLS AND THE CITY OF REDWOOD CITY
<br />FOR SAN MATEO COUNTY PRESCHOOL FOR ALL PROJECT SERVICES.

<br />I.
<br />
<br />PURPOSE OF AGREEMENT
<br />
<br />THIS AGREEMENT is made on behalf of the San Mateo County Preschool for All ("Preschool
<br />for All") project and entered into by and between the San Mateo County Superintendent of
<br />Schools ("County Superintendent") as lead agency and fiscal designee and the City of Redwood
<br />City, a charter city and municipal corporation of the State of California ("City") for the purpose
<br />of funding costs for activities in support of Preschool for All.
<br />
<br />The San Mateo County Superintendent of Schools is the lead agency and fiscal agent for
<br />Preschool for All. The County Superintendent has received a three (3) year grant of seven
<br />million seven hundred thousand dollars ($7,700,000) ftom First 5 San Mateo County for the
<br />purpose of implementing Preschool for All.

<br />The City, has been selected by the County Superintendent to receive funds in order to provide
<br />the services detailed in the attached Scope of Work ("Services") in support of the
<br />implementation of Preschool for All (Attachment A). Funding for this agreement is contingent
<br />upon completion of all required responsibilities (See Sections 2 and 3 below) in a manner that is
<br />both timely and in compliance with the terms of the grant.

<br />II.
<br />
<br />COUNTY SUPERINTENDENT'S RESPONSIBILITIES
<br />
<br />The County Superintendent shall:
<br />
<br />1. Issue payment to the City in an amount not to exceed twenty-seven thousand dollars and no
<br />cents ($27,000) for the Services (personnel costs $26,113.00; out-of-pocket expenses
<br />$887.00). Personnel costs are charged at $40.36 hourly for 110 hours and $41.68 hourly for
<br />520 hours (equivalent to .25 FTE for 62 weeks). Payment will be made to City on a quarterly
<br />basis and be based upon invoices submitted to the County Superintendent by City. Upon
<br />mutual agreement of the Parties, the City Manager may, by written amendment, agree to
<br />adjust the City's hourly commitment and City's hourly rate. Payments will be made within
<br />31 days of receipt of an approved invoice.

<br />2. Defend, indemnify, and save harmless the City, its council, boards, commissions, officers,
<br />employees and agents, ftom and against any and all claims, suits, actions liability, loss,
<br />damage, expense, cost (including, costs and fees of litigation) of every nature, kind or
<br />description, which may be brought against, or suffered or sustained by City, its council,
<br />boards, commissions, officers, employees or agents to the extent such claims, suits, actions,
<br />liability, loss, damage, expense, cost (including costs and fees of litigation) of every nature,
<br />kind or description which may be brought against, or suffered or sustained by City, its
<br />council, boards, commissions, officers, employees or agents are caused by the negligent act
<br />or omission, intentional tortious act or omission, or willful misconduct of County
