City and Company are referred to herein individually as a "Party" and together as the <br />"Parties." <br />RECITALS <br />A. City and Irvine Apartment Communities, L.P., a Delaware limited partnership ("IAC") <br />entered into that certain "Agreement for Improvement of Bair Island Marina Subdivision" dated as of <br />January 12, 1999, and recorded in the Official Records of San Mateo County, California, on February 5, <br />1999 as Instrument No. 99-021658 (the "Subdivision Improvement Agreement'), regarding the construction <br />by IAC of various public improvements (the "Improvements") in connection with its development of the <br />apartment community known as Bair Island Marina ("Bair Island Marina"). <br />B. Company is the successor in interest to IAC, and currently is the owner of Bair Island <br />Marina. <br />C. All of the obligations of the Parties under the Subdivision Improvement Agreement, <br />including but not limited to the construction of the Improvements, have been completed, and the Parties now <br />desire to enter into this Termination Agreement to confirm that there are no further obligations under the <br />Subdivision Improvement Agreement and that said agreement is of no further force or effect. <br />AGREEMENT <br />NOW, THEREFORE, in consideration of the foregoing recitals, the mutual covenants herein <br />contained, and other consideration, the receipt and adequacy of which is hereby acknowledged, the Parties <br />hereby agree as follows: <br />Page 1 of 4 <br />REV: 07-09-18 VR <br />ATTY/AGR.2018.153/Bair Island Marina - Termination of Improvement Agreement <br />
