<br />AGREEMENT BETWEEN THE SAN MATEO COUNTY SUPERINTENDENT OF
<br />SCHOOLS AND THE CITY OF REDWOOD CITY FOR SAN MATEO COUNTY
<br />PRESCHOOL FOR ALL PROJECT SERVICES.
<br />I. PURPOSE OF AGREEMENT
<br />THIS AGREEMENT is made on behalf of the San Mateo County Preschool for All ("Preschool
<br />for All") project and entered into by and between the San Mateo County Superintendent of
<br />Schools ("County Superintendent") as lead agency and fiscal designee and the City of Redwood
<br />City, a charter city and municipal corporation of the State of California ("City") for the purpose
<br />of funding costs for activities in support of Preschool for All.
<br />The San Mateo County Superintendent of Schools is the lead agency and fiscal agent for
<br />Preschool for All. The County Superintendent has received a three (3) year grant of seven
<br />million seven hundred thousand dollars ($7,700,000) from First 5 San Mateo County for the
<br />purpose of implementing Preschool for All.
<br />The City, has been selected by the County Superintendent to receive funds in order to provide
<br />the services detailed in the attached Scope of Work ("Services") in support of the
<br />implementation of Preschool for All (Attachment A). Funding for this agreement is contingent
<br />upon completion of all required responsibilities (See Sections 2 and 3 below) in a manner that is
<br />both timely and in compliance with the terms of the grant.
<br />II. COUNTY SUPERINTENDENT'S RESPONSIBILITIES
<br />The County Superintendent shall:
<br />1. Issue payment to the City in an amount not to exceed twenty-five thousand dollars and no
<br /> cents ($25,000) for the Services (personnel costs $23,520; out-of-pocket expenses $1,480).
<br /> Personnel costs are charged at $45.23 hourly for 520 hours (equivalent to .25 FTE for 52
<br /> weeks). Payments will be made to City on a quarterly basis for actual expenditures and be
<br /> based upon invoices submitted to the County Superintendent by City and in accordance with
<br /> the Budget (Attachment B). Upon mutual agreement of the Parties, the City Manager may,
<br /> by written amendment, agree to adjust the City's hourly commitment and City's hourly rate.
<br /> Payments will be made within 31 days of receipt of an approved invoice.
<br />2. Defend, indemnify, and save harmless the City, its council, boards, commissions, officers,
<br /> employees and agents, from and against any and all claims, suits, actions liability, loss,
<br /> damage, expense, cost (including, costs and fees of litigation) of every nature, kind or
<br /> description, which may be brought against, or suffered or sustained by City, its council,
<br /> boards, commissions, officers, employees or agents to the extent such claims, suits, actions,
<br /> liability, loss, damage, expense, cost (including costs and fees of litigation) of every nature,
<br /> kind or description which may be brought against, or suffered or sustained by City, its
<br /> council, boards, commissions, officers, employees or agents are caused by the negligent act
<br /> or omission, intentional tortious act or omission, or willful misconduct of County
<br /> Superintendent, its officers, employees or agents in the performance of any services or work
<br /> pursuant to this Agreement.
