<br />ORIGINAL <br /> <br />LIVE PERFORMANCE AGREEMENT <br /> <br />This Agreement is made and entered into as of the '5 day of~btI2~ <br />2008, by and between the City of Redwood City Redevelopment Agency, (the <br />"Agency"), and ZOPPE, an Italian Family Circus, ("Performers"). <br /> <br />IN CONSIDERATION of the mutual promises set forth herein, and for other good <br />and valuable consideration, the receipt of which is hereby acknowledged, the Agency <br />hereby engages Agent to secure Performers' services upon the following terms and <br />conditions: <br /> <br />TERMS OF AGREEMENT <br /> <br />1. Performances. Performers shall perform at the dates, times and place listed <br />below (collectively, the "Performances"). <br /> <br />2. Place of Performance. Performers shall perform outdoors in a public parking lot <br />generally located at the corner of Jefferson Avenue and Middlefield Road and adjacent <br />to the Redwood City Public Library in the City of Redwood City, California ("Place of <br />Performance") . <br /> <br />3. Schedule of Performance. The Performances shall take place pursuant to the <br />schedule set forth in Exhibit "A" attached hereto and incorporated herein by this <br />reference (the "Schedule of Performance"). <br /> <br />4. Performance Fee. The Agency agrees to pay a total sum of Fifty Thousand <br />Dollars ($50,000.00) ("Performance Fee") for the rendition of Performers' services <br />described above. The Performance Fee shall be payable as follows: <br /> <br />(a) Upon execution of this Agreement, the Agency shall pay to New World <br />Classics, as the business agent for Performers ("Agent"), a deposit in an amount equal <br />to Seventeen Thousand Dollars ($17,000.00), which is approximately thirty-three <br />percent (33%) of the total Performance Fee (the "First Deposit"). Payment of the First <br />Deposit shall be by check of the Agency made payable to New World Classics and <br />returned with the signed Agreement. Performers represent and warrant that Performers <br />and Agent have previously agreed that Agent shall accept payment of the First Deposit <br />from the Agency as set forth in this paragraph. <br /> <br />(b) Upon arrival of Performers to the Place of Performance for setup as set <br />forth in the Schedule of Performance, the Agency shall pay to Performer an additional <br />deposit in an amount equal to Sixteen Thousand Dollars ($16,000.00), which is <br />approximately thirty-three percent (33%) of the total Performance Fee (the "Second <br />Deposit"). Payment of the Second Deposit shall be by check of the Agency made <br />payable to Giovanni Zoppe and shall be paid prior to the first performance. <br /> <br />Page 1 <br />
