<br />RELOCATION ASSISTANCE AGREEMENT <br />(SOCIAL SECURITY ADMINISTRATION) <br /> <br />~oyation~istanc~ment (the "Agreement") is dated, forreference purposes, <br />as of \J), 0() ,2003, and is made by and between THE CITY OF <br />REDWOOD CITY, a municipal corporation (the "City") and 2401 BROADWAY PARTNERS, a <br />California partnership ("Owner"). <br /> <br />RECITALS <br /> <br />WHEREAS, the City is undertaking a program of acquisition and clearance of certain land <br />within the downtown area of the City for municipal purposes, which purposes include public parking (the <br />"Project"); and <br /> <br />WHEREAS, in order to accomplish the Project the City has sought the agreement of the <br />United States Government (the "Government") to relocate an office of the Social Security Administration <br />("SSA") from the real property where the Project is located; and <br /> <br />WHEREAS, SSA has identified certain property for long term relocation, which cannot <br />be ready for occupation by SSA for some period of time, thereby requiring that SSA relocate on a <br />temporary basis to other premises at additional expense to the Government; and <br /> <br />WHEREAS, the City must assist the Government with the expenses of the relocation of <br />SSA in order to obtain the cooperation of the Government in relocating S SA from the property where the <br />Project is located in a time frame which meets the City's needs; and <br /> <br />WHEREAS, the Government is willing to enter into an interim lease (the "Lease") for space <br />to be utilized by SSA at 810 Winslow Street, Redwood City (the "Premises"), owned by Owner, but is <br />not willing to pay market rate for the Premises due to the additional cost imposed on the Government by <br />the temporary relocation to the Premises, followed by a subsequent relocation to its intended long term <br />space, and Owner is not willing to incur the reduced revenue and added expense of a short term lease to <br />the Government at lower rates; and <br /> <br />WHEREAS, the City, in order to further the public interest and to complete the Project <br />within the necessary time frame, and in order to offset the additional costs imposed on the Government as <br />a result of its temporary relocation, desires to provide assistance to the Government by way of an offset <br />to the lease obligations which the Government will incur in temporarily relocating to the Premises. <br /> <br />NOW, THEREFORE, the parties hereto agree as hereinafter provided. <br />
