<br />ORIGINAL <br /> <br />GRANT AGREEMENT <br /> <br />[IMMIGRANTS DAY FESTIVAL- 2009] <br /> <br />THIS GRANT AGREEMENT is made and entered into thisJA day of <br />, 2009, by and between the REDWOOD CITY REDEVELOPMiit-rAGENCY, <br />public ody, corporate and politic ("Grantor"), and the SAN MATEO COUNTY <br />STO ICAL ASSOCIATION ("Grantee") (collectively, the "Parties"), with reference to the <br />following facts: <br /> <br /> <br />RECITALS <br /> <br />A. Grantor is a public entity organized in accordance with the Community <br />Redevelopment Law as contained in California Health and Safety Code Sections 33000, <br />et. seq. Pursuant thereto, Grantor is authorized to undertake and support projects within <br />designated areas of the City of Redwood City ("City") which foster the elimination of <br />blighted conditions and encourage the economic well-being of such areas. <br /> <br />B. Grantee is sponsoring "Celebration of the Peninsula's Diversity: Immigrants <br />Day Festival," an event that celebrates the various ethnic communities on the peninsula. <br /> <br />C. Grantee has requested financial assistance in the form of a grant to assist <br />with the Immigrants Day Festival event as is more particularly described in Exhibit A, <br />which is attached hereto and incorporated herein by this reference. <br /> <br />D. Immigrants Day Festival is an event that celebrates San Mateo County's <br />history and that attracts Bay Area residents of all age groups to downtown businesses. <br /> <br />E. Grantee has sought, and upon the terms aod conditions described herein, <br />Grantor is willing to provide, funding for certain costs associated with the event. <br /> <br />NOW, THEREFORE, Grantor and Grantee hereby agree as follows: <br /> <br />1. Grant and Use of Funds. Grantor agrees to provide a grant to Grantee in <br />an amount not to exceed Seven Thousand Five Hundred Dollars ($7,500.00). Grantee <br />shall submit copies of invoices to Grantor for payment on a reimbursement basis. Such <br />funds will be used fully and exclusively for the activities and expenses detailed in Exhibit <br />"B," for the Immigration Day Festival event described in Exhibit "A", both exhibits are <br />attached hereto and incorporated herein by this reference." Grantor reserves the right to, <br />at any time, withhold the balance of the funds if the use of the funds is found to be <br />substantially out of compliance with the purpose of this Grant Agreement. <br /> <br />2.
