<br />ORIGINAL <br /> <br />LICENSE <br />AGREEMENT <br />(OMBUDSMAN SERVICES OF SAN MATEO COUNTY, INC.) <br /> <br />THIS LICENSE AGREEMENT ("Agreement" or "License"), is made and entered <br />into as of the 15t day of March, 2009 by and between the CITY OF REDWOOD CITY, <br />PARKS, RECREATION AND COMMUNITY SERVICES, ("Agency" or "Licensor") a <br />public body, corporate and politic, duly organized and existing under the laws of the <br />State of California, and the OMBUDSMAN SERVICES OF SAN MATEO COUNTY, <br />INC., a private non-profit corporation in the State of California ("Licensee") (collectively, <br />the "Parties" or the "Parties to this License"). The Manager of the Veterans Memorial <br />Senior Center or his/her designee serves as Administrator of this License on behalf of <br />the City of Redwood City. <br /> <br />RECITALS: <br /> <br />A. WHEREAS, Licensor is the owner of record of the real property and <br />improvement located at Veterans Memorial Senior Center, 1455 Madison <br />Avenue, Redwood City, California, 94061 and the neighboring Wellness Center <br />located at 711 Nevada Street, Redwood City, CA 94061; and <br /> <br />B. WHEREAS, Licensor requires the services of Licensee, which provides senior <br />information, referral, education and support for the benefit of senior citizens; and <br /> <br />C. WHEREAS, Licensee is in need of a place to conduct its operations; and <br /> <br />D. WHEREAS, Licensor requires Licensee to perform, and Licensee agrees to <br />render, those services that are defined in Exhibit "B," attached and incorporated <br />by this reference in accordance with the terms and conditions set forth herein; <br />and <br /> <br />E. WHEREAS, Licensor agrees to facilitate Licensee's performance of those <br />services as described in Exhibit "A."; and <br /> <br />F. WHEREAS, Licensee is a nonprofit corporation performing ombudsman services <br />under contract with San Mateo County Aging & Adult Services, and the premises <br />provided to Licensee under this Agreement will be the principal office of <br />Licensee for use in fulfilling its obligations to the County, in addition to duties <br />undertaken under this Agreement and described in Exhibit "B." <br /> <br />NOW THEREFORE, in consideration of these recitals and the terms, covenants, <br />and conditions contained herein, Licensor and Licensee agree as follows: <br /> <br />ATTY/AGR/2009.009 <br />021909 <br /> <br />1 <br />
