REV: 11-29-2021 MI <br />AGREEMENT BETWEEN THE CITY OF <br />REDWOOD CITY AND CALIFORNIA WATER <br />SERVICE FOR LIMITED EMERGENCY WATER <br />SUPPLY INTERCONNECTION <br />THIS AGREEMENT BETWEEN THE CITY OF REDWOOD CITY AND CALIFORNIA WATER <br />SERVICE FOR LIMITED EMERGENCY WATER SUPPLY INTERCONNECTION (“Agreement”) is made <br />as of this _____________day of ________________________, 2021 (“Effective Date”), by and <br />between the City of Redwood City (“City”), a municipal corporation and charter city of the State of <br />California, with its primary business address at 1017 Middlefield Road, Redwood City, California <br />94063 and California Water Service Company (“Cal Water”), a California corporation. Cal Water <br />and City may be referred to individually as a “Party” or collectively as the “Parties” or the “Parties <br />to this Agreement.” <br />RECITALS <br />A. The Parties provide water service to their respective, adjacent service areas in the City’s and <br />Cal Water’s “Bear Gulch” service area, which includes the communities of Atherton, Portola <br />Valley, Woodside, parts of Menlo Park and adjacent unincorporated portions of San Mateo <br />County including West Menlo Park, Ladera, North Fair Oaks, Menlo Oaks, and several rural <br />communities along Highway 35 between Page Mill Road and Highway 92; <br />B. Each Party has its own water supply and under usual and ordinary operating conditions <br />neither Party would have occasion to purchase water from the other Party; and <br />C. The Parties determined that it is in the public interest to arrange for two-way mutual relief <br />connections between their water distribution systems so that each can provide the other <br />with water in an emergency or temporary service disruption, if water is available; and <br />D. The Parties desire an emergency interconnection at Godetia Road and Jefferson to be <br />constructed in the future. The Emergency Interconnection is referred to herein as the <br />“Interconnection;” and <br />E. The Parties desire to enter into an agreement to establish the terms and conditions for the <br />construction, maintenance, and use of the Interconnection. <br />NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS: <br />1. Incorporation of Recitals. The Parties agree to, and attest to the truth and accuracy of, the <br />provisions contained in the Recitals of this Agreement as set forth above. The Recitals are <br />hereby incorporated into, and made a part of, the terms of this Agreement by this <br />reference. The Parties agree that this Agreement has been entered into, at least in part, in <br />consideration of the provisions contained in the Recitals, in addition to all of the following <br />provisions of this Agreement. <br />ATTY/AGR.2021.309/California Water Service (Page 1 of 14)
