REV: 02-24-2022 RL <br />January 31, 2022 <br />Melissa Stevenson Diaz, City Manager <br />City of Redwood City <br />c/o Redwood City Together <br />1017 Middlefield Rd. <br />Redwood City, CA 94063 <br />Dear City of Redwood City, <br />Community Initiatives (“CI”), on behalf of its fiscally sponsored project Bay Area Community <br />Health Advisory Council (the “Project”), is pleased to award a grant in the amount of $10,000.00 (the <br />“Grant”) to City of Redwood City for its fiscally sponsored project Redwood City Together (“Grantee”) to <br />provide support for COVID-19 programming (the “Grant Purpose”). The Grant is to be used in furtherance <br />of the Grant Purpose in a manner consistent with CI’s charitable and educational purposes within the <br />meaning of Internal Revenue Code (“IRC”) Section 501(c)(3). <br />This letter (the “Grant Letter”) is a legally binding agreement. Grantee acknowledges that <br />its acceptance of the Grant funds shall constitute acceptance of all the terms and conditions set <br />forth herein. Please also sign an original copy of this Grant Letter and return it to CI to <br />fiscalsponsorship@communityin.org within 7 days of receipt. <br />The period of the Grant shall be from February 1, 2022 through May 31, 2022. Grantee <br />must notify CI promptly if it expects at any time that it will not be able to use the full amount of <br />the Grant in furtherance of the Grant Purpose with the Grant Period. No amount of the Grant may <br />be used by Grantee to: (a) participate or intervene in any political campaign on behalf of (or in <br />opposition to) any candidate for public office; (b) cause any private inurement or improper private <br />benefit to occur; (c) induce or encourage violations of law or public policy; (d) undertake any <br />activity for any purpose other than charitable and/or educational purposes within the meaning of <br />IRC Section 170(c)(2)(B); or (e) take any other action inconsistent with IRC Section 501(c)(3). The <br />Grant is not earmarked for carrying on propaganda or otherwise attempting to influence <br />legislation within the meaning of IRC Section 501 and the associated regulations, and any used of <br />Grant funds by Grantee for such activities constitutes its decision alone. <br />Grantee shall appropriately acknowledge CI, and its Project, as a grantor in any published <br />or publicly distributed communications connected with the Grant or the Grant Purpose. In making <br />the Grant, CI does not assume any liability or responsibility for the actions of Grantee in carrying <br />out the Grant Purpose or otherwise.
