REV: 04-05-2022 RL <br />CONSENT TO ASSIGNMENT AGREEMENT <br />BY AND BETWEEN THE <br />CITY OF REDWOOD CITY, CALIFORNIA, <br />CONTRACT SWEEPING SERVICES, LLC, <br />AND <br />SCA OF CA, LLC DOING BUSINESS AS <br />SWEEPING CORPORATION OF AMERICA <br />This consent to assignment agreement (“Consent Agreement”) is entered into and <br />effective as of day of , 2022 (“Effective Date”), by and <br />between the City of Redwood City, California, a charter city and municipal corporation of <br />the State of California, (“City”), Contract Sweeping Services, LLC, a California limited <br />liability company, (“Assignor”) and SCA OF CA, LLC doing business as Sweeping <br />Corporation of America, a Delaware limited liability company (“Assignee”) (collectively, <br />the “Parties”). <br />RECITALS <br />A. City and Contract Sweeping Service, Inc. previously executed that certain General <br />Services Agreement, dated as of June 17, 2016 (“General Services Agreement”). <br />B. Assignor purchased Contract Sweeping Services, Inc., and executed that certain <br />Consent to Assignment Agreement, dated as of May 11, 2021, consenting to the <br />assignment of all rights, obligations and interest in the General Services Agreement <br />from Contract Sweeping Services Inc. to Assignor. <br />C. Section 5 of the General Services Agreement, “Assignment and Subcontracting” <br />provides as follows: “Contractor shall not subcontract, assign or transfer any portion <br />of the performance contemplated and provided for in this Agreement without the <br />approval of the City Manager.” <br />D. The City has been informed that Assignee has purchased Assignor, and as such, <br />Assignee will continue to provide the services to the City under the General Services <br />Agreement, as it may have been amended from time to time. <br />E. Assignee desires to obtain the City’s consent to the assignment of all rights, <br />obligations and interest in the General Services Agreement, as it may have been <br />amended from time to time, from Assignor to Assignee. <br />F. It is the desire of City to formally consent to the assignment by Assignor of all its <br />rights, obligations and interest in the General Services Agreement, as it may have <br />been amended from time to time, to Assignee. <br />In consideration of the above referenced recitals and the following mutual covenants, <br />commitments and obligations, the Parties agree, as follows: <br />ATTY/AGR.2022.064/SCA OF CA, LLC (Page 1 of 4) <br />14 April
