REV: 04-01-24 SK <br />TEMPORARY WIRELESS COMMUNICATION SITE LICENSE AGREEMENT <br />This Temporary Wireless Communication Site License Agreement (“Temporary <br />License”) is made as of _______________________ (“Effective Date”), by and between the City <br />of Redwood City, California (“Licensor” or “City”), a charter city and California municipal <br />corporation, and GTE Mobilnet of California Limited Partnership, a California limited partnership, <br />dba Verizon Wireless (“Licensee”) with its principal offices at One Verizon Way, Mail Stop <br />4AW100, Basking Ridge, New Jersey 07920. Licensor and Licensee are sometimes referred to <br />herein individually as a “Party” and collectively as the “Parties”. <br />RECITALS <br />A. Licensor is the owner of that certain real property located at 750 Marshall St., <br />Redwood City, CA 94063, Assessor’s Parcel Number(s) 052-374-080 and 052-374-190 (the <br />“Property”), such Property being legally described on Exhibit “A”. <br />B. Licensee desires to install, maintain, and operate communications equipment <br />(“Use”) on a portion of the Property consisting of approximately 361 square feet of floor area <br />(“Floor Space”), together with one parking space on the roof of the building located on the <br />Property (“Rooftop Space”) as more particularly shown and described on Exhibit “B” <br />(collectively “Licensed Area”). <br />C. Licensor is willing to allow Licensee to use the Licensed Area in accordance with <br />the terms, conditions, and covenants of this Temporary License. <br />1. GRANT OF AUTHORITY. <br />1.1 Subject to the terms and conditions of this Temporary License, Licensor hereby <br />grants to Licensee an exclusive license (which license shall remain irrevocable during the Term <br />(defined below), except to the extent that the Temporary License may be revoked or otherwise <br />terminated as expressly set forth herein) to use the Licensed Area for installation and maintenance <br />of certain communications equipment as more particularly described and shown in Exhibit “B” <br />(the “Communications Equipment”). Further, Licensee is granted an exclusive license for use <br />of the Licensed Area, at Licensee’s sole cost and expense, for (i) the transmission and reception of <br />communication signals (a) duly authorized by the Federal Communications Commission (“FCC”) <br />to Licensee or an Affiliate (as defined in Section 4.1 below) of Licensee as of the Effective Date <br />or during the Term, or (b) which Licensee does not require a license from the FCC to transmit or <br />receive, and which communication signals Licensee is permitted to transmit and receive in <br />accordance with all applicable laws, (ii) the construction, maintenance, repair, operation, and <br />replacement of its Communications Equipment within the Licensed Area, and (iii) activities related <br />to any of the foregoing, provided such activities do not require an expansion of the Licensed Area <br />or Communications Equipment or violate Licensee's duties set forth herein, including, without <br />limitation, the right to test, survey the Licensed Area and review title on the Property; the right but <br />not the obligation to add, modify and/or replace Communications Equipment in order to be in <br />compliance with any current or future federal, state or local mandated application, including, but <br />not limited to, emergency 911 communication services, at no additional cost to Licensor <br />ATTY/AGR.2024.045/Verizon Wireless (Temporary Wireless Communication Site) (Page 1 of 31) <br />DT Redwood City 2024 TempMDG 5000948336 <br />04/19/2024
