REV: 12-10-24 LF AMENDMENT NO. 2 TO HYLAND SOFTWARE MASTER SOFTWARE LICENSE, SUPPORT AND SERVICES AGREEMENT (Hyland Software Inc.) This Amendment No. 2 (the “Amendment No. 2”) is entered into and made effective as of December 11, 2024, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Hyland Software, Inc., an Ohio corporation (“Hyland”) (collectively, the “Parties”). RECITALS A.The Parties previously executed that certain Hyland Software Master Software License, Support and Services Agreement, dated as of January 24, 2018, (the “Original Agreement”). B.The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No. 1”), dated as of March 25, 2020. (the “Original Agreement” and “Amendment No. 1” are collectively known as the “Agreement”). C. While the Maintenance Schedule to the Agreement expired on March 24, 2023, the Parties continued to work together in good faith under the terms of the Agreement to ensure continuation of Maintenance and Support Services described under the Agreement. The Parties now wish to formally renew the Maintenance Schedule of the Agreement under the terms of the Agreement as amended by this Amendment No. 2 and authorize the payments set forth in Exhibit A attached hereto for Maintenance and Support Services. D.The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 2, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1.Hyland agrees and acknowledges that it has received payments for Maintenance and Support Services provided to the City under the Agreement through May 31, 2024. 2.Hyland will provide the Maintenance and Support Services set forth in Exhibit “A” to this Amendment No.2, in accordance with terms of the Agreement. 3.City will pay outstanding maintenance invoice LE01- 359311 to Hyland a not-to-exceed amount of Thirty Thousand Six Hundred Forty and 01/100 Dollars ($30,640.01) for the provision of all the Maintenance and Support Services described in Exhibit “A” to this Amendment No.2 for the period of June 1, 2024 through May 31, 2025, which sum will include all costs or expenses incurred by Hyland.
